Terms and Conditions
These terms and conditions apply to all Users of the Hello Tutor platform, including Students, parents, legal guardians, and Tutors, unless otherwise stated. Certain clauses marked with a "(T)" apply to Tutors only. Clause 5 applies to Tutors only. These terms and conditions replace any previous versions.
1. Introduction
1.1 Hello Tutor operates a platform that matches Students with Tutors based on their learning needs, subject requirements, and availability, and enables Students to book and pay for Lessons with the Tutors they are matched with. Hello Tutor is a matching service and is not a marketplace or reseller of tuition services. All of these terms and conditions apply to Students and Tutors unless they specifically state otherwise, or are marked with a "(T)", in which case they apply to Tutors only.
1.2 The Hello Tutor platform is owned and operated by Hello Tutor LLC, a company registered and operating in Dubai, United Arab Emirates. Hello Tutor's website is at hellotutor.me and the platform is accessible at app.hellotutor.me.
1.3 A User may register on the platform as a Student, a Parent, or a Tutor. A User may browse the platform without registering, but if a User does register, certain information will be stored to make future visits easier.
1.4 By registering on or using our platform, the User agrees to be bound by these terms and conditions. These terms and conditions are legally binding and every User should read them fully before agreeing to them. Please save or print these terms for future reference as Hello Tutor cannot guarantee they will remain accessible on the platform in their current form at all times. If a User does not wish to be bound by these terms, they should not use the platform.
1.5 (T) Where the person who agrees to these terms and conditions does so on behalf of a company or organisation, they confirm that they have the authority to act on behalf of that entity.
1.6 Certain words are defined in clause 19 (Definitions) of these terms and conditions and are capitalised throughout this document.
1.7 These terms and conditions are governed by the laws of the United Arab Emirates, including the UAE Federal Law No. 1 of 2006 on Electronic Commerce and Transactions, UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, and all other applicable UAE federal and emirate-level legislation.
2. Hello Tutor Rights and Responsibilities
This clause sets out what Hello Tutor commits to do.
2.1 To match Students with suitable Tutors based on their learning needs, subject requirements, and availability, and to enable Students to book and pay for Lessons with matched Tutors through the platform.
2.2 To maintain a functioning platform, including communication systems, a booking system, and an Online Classroom, wherever possible. Hello Tutor cannot guarantee that the platform will always be available or that it will always work without interruption, but it will use reasonable endeavours to keep it operational at all times. Scheduled maintenance may occasionally require the platform to be taken offline temporarily.
2.3 To communicate any planned maintenance or downtime to Users in advance wherever possible.
2.4 To use reasonable endeavours to keep the platform free from viruses, malware, and other harmful code.
2.5 To use reasonable endeavours to verify the identity of all Tutors and to check that background verification requirements have been met. Students who have concerns about a Tutor should contact Hello Tutor before proceeding with a Lesson.
2.6 To decide when a Tutor's profile is sufficiently complete and verified to be made live on the platform and accessible by other Users.
2.7 To communicate new Bookings, confirmations of Bookings, and cancellations to both Students and Tutors via the platform and by email, except where a User has changed their notification settings to exclude email communications.
2.8 To endeavour to ensure that each Student's payment of Lesson Fees and each Tutor's payment of Tutor Fees are processed promptly and ordinarily within 14 days of a Lesson being completed, where there is no Complaint or Failed Payment.
2.9 To endeavour to ensure that Complaints are considered promptly and in accordance with these terms and conditions.
2.10 To endeavour to ensure that refunds to Students are made promptly in accordance with these terms and conditions.
2.11 To endeavour to ensure that Failed Payments are followed up promptly and in accordance with these terms and conditions.
2.12 To take precautions that Hello Tutor considers appropriate to protect Students' and Tutors' personal information, in accordance with our Privacy Policy.
2.13 To monitor activity posted on the platform and messages sent on the platform in order to facilitate matches, prevent misuse of the platform, and safeguard all Users, as set out in these terms and conditions.
2.14 To record all Online Lessons (except where an unforeseen technical malfunction occurs) and to store those recordings for a minimum of 28 days and a maximum of one year for safeguarding and quality purposes. These recordings remain the property of Hello Tutor.
2.15 To regularly review these terms and conditions and our Safeguarding and Privacy Policies to ensure they remain adequate and up to date.
3. User Responsibilities
This clause applies to all Users, including Students, parents, legal guardians, and Tutors.
3.1 Users are responsible for their own security in connection with their use of the platform, both online and offline.
3.2 Users are solely responsible for all material they post on the platform, including messages sent, and must not post defamatory, offensive, misleading, or illegal material.
3.3 Users must immediately report to Hello Tutor any defamatory, offensive, or illegal material they encounter on the platform.
3.4 Users must exercise their own judgement regarding the accuracy of information provided on the platform. Hello Tutor cannot and does not guarantee that all content on the platform is complete, accurate, or up to date.
3.5 Users must contact Hello Tutor immediately if they believe their account password or login credentials have been compromised. Users will remain responsible for any activity conducted on their account until Hello Tutor has been notified of the compromise.
3.6 Users must not use the platform with the intention of engaging directly with other Users outside of the Hello Tutor environment so as to circumvent Hello Tutor's services. Users must not promote opportunities or services of any company other than Hello Tutor on the platform.
3.7 Users agree to abide by the Privacy Policy and Safeguarding Policy as published on the platform.
3.8 Any User who fails, in Hello Tutor's reasonable opinion, to comply with these terms and conditions may be immediately suspended from using the platform and any related services. Hello Tutor reserves the right to cancel any existing Bookings in such circumstances.
3.9 Users must not use the platform to send unsolicited commercial communications, spam, or promotional material to other Users.
3.10 Users must not attempt to gain unauthorised access to any part of the platform, its systems, or the accounts of other Users.
4. Student Responsibilities
4.1 Hello Tutor is not responsible for the acts or omissions of Students or Tutors and is solely responsible for its own acts or omissions.
4.2 Students must be at least 18 years old to register for an account and book a Tutor for themselves or another learner. Learners under the age of 18 must be represented by a parent or legal guardian who provides their consent for the learner to receive tuition. Hello Tutor is not responsible for any dispute between a person under the age of 18 and a parent or guardian regarding consent.
4.3 Students must ensure that all of their personal details and contact information on the platform are accurate and kept up to date. Hello Tutor will contact Students by email and through the platform.
4.4 When a Booking is made more than 24 hours in advance of the start time of the first Lesson, Students have up to 12 hours before their first Lesson with a new Tutor is due to commence to confirm the Booking. When a Booking is made within 24 hours of the start time, Students have up to 2 hours before their first Lesson with a new Tutor is due to commence to confirm the Booking.
4.5 To confirm a Booking for their first Lesson with a Tutor, the Student must have valid payment details entered and saved on the platform.
4.6 By confirming their Booking for their first Lesson with a Tutor, the Student authorises Hello Tutor to arrange further Bookings on their behalf and to take payment of its Service Fee and, as agent for the Tutor, payment of the Tutor Fee for each Lesson (which together form the total Lesson Fee), in accordance with these terms and conditions. Further Bookings arranged by Hello Tutor on behalf of a Student after the first confirmed Lesson will therefore be confirmed automatically.
4.7 When a Booking is confirmed, the Student enters into a direct contract with the Tutor for the provision of Lessons. Hello Tutor's role is limited to facilitating the match and providing the booking and payment infrastructure, and Hello Tutor accepts no liability in relation to the Tutor's delivery of those Lessons.
4.8 When a confirmed Booking exists, the Student must ensure that they have a valid debit or credit card registered on the platform with sufficient funds to cover the Booking.
4.9 Students agree not to circumvent or disintermediate, or attempt to circumvent or disintermediate, Hello Tutor in any way at the time of booking any Tutor, during any period of confirmed Bookings with any Tutor, or at any time within six months of the date of the most recent Booking with the relevant Tutor (the "Student Restriction Period"). Save where Hello Tutor has barred the relevant Student or Tutor, all Lessons within the Student Restriction Period with a Tutor matched through the platform must be booked through Hello Tutor.
4.10 Students must ensure they have provided Hello Tutor with all necessary information to allow the Lesson to take place, including any relevant learning objectives, materials, or, for in-person Lessons, the correct location details. If a Lesson is to take place at the Student's location, the Student must ensure an appropriate and safe setting for tuition is available.
4.11 Students must use their own judgement about the suitability of any Tutor detailed on the platform. Although Hello Tutor undertakes certain checks before approving a Tutor's profile, Students are responsible for verifying the credentials, qualifications, experience, and any other claims made by a Tutor with whom they confirm a Booking.
4.12 Students are responsible for checking that any Bookings arranged by Hello Tutor on their behalf are correct. Students will be notified of such Bookings by email and through the platform.
4.13 Students are responsible for ensuring they have the necessary equipment and a stable internet connection to access the Online Classroom before an Online Lesson. No refunds will be made in the event that a Student is unable to access the Online Classroom for reasons within the Student's control.
4.14 Any Student who fails, in Hello Tutor's reasonable opinion, to comply with these terms and conditions may be immediately barred from using the platform and any related services. Hello Tutor reserves the right to cancel any existing Bookings in such circumstances.
4.15 Students may cancel a Booking at any time before the scheduled start time of a Lesson, subject to the cancellation charges set out in clause 7.
4.16 Nothing in these terms and conditions affects a Student's rights under applicable UAE consumer protection legislation.
4.17 By agreeing to these terms and conditions, a Student is not obliged to book any Tutor or make any Bookings.
4.18 Subject to paying for any Bookings used, a Student may cease using the Hello Tutor service at any time.
4.19 Students agree not to independently record Lessons by any means outside of Hello Tutor's own recording system, and must not store or share any such recordings.
5. Tutor Status and Responsibilities (T)
5.1 Tutors are independent contractors and are not employees of Hello Tutor. Tutors are solely responsible for their own actions both on and off the platform.
5.2 Tutors must be at least 18 years old to register on the platform.
5.3 Tutors must be legally entitled to work and provide tutoring services in the UAE and must hold all necessary permits, visas, or authorisations required to do so on a freelance or self-employed basis.
5.4 Tutors must hold and maintain a valid work permit or freelance permit issued by the Ministry of Human Resources and Emiratisation (MOHRE), or an equivalent permit issued by the relevant free zone authority, that legally entitles them to provide tutoring or educational services in the UAE on a self-employed or freelance basis. Tutors must provide Hello Tutor with evidence of their permit status upon request. Failure to hold or maintain a valid and applicable permit will result in the immediate suspension of the Tutor's profile until this requirement is met.
5.5 If Tutors teach Students who are under 18, they must ensure that those Students are represented by a parent or legal guardian who has given their consent for the Student to receive tuition.
5.6 Tutors are responsible for ensuring that all personal information they provide on the platform, including their profile, qualifications, and personal statements, is accurate, complete, and not misleading. Tutors must update this information promptly to maintain its accuracy.
5.7 Tutors must disclose to Hello Tutor any criminal convictions or cautions they hold at the time of registration, and must disclose any convictions or cautions received at any time after registering on the platform for as long as they remain a registered Tutor.
5.8 All Tutors must have completed a valid background check dated within the last three years to be approved and to continue to be listed on the platform. Tutors must provide Hello Tutor with evidence of their background check status upon request. Failure to maintain a valid background check will result in the suspension of the Tutor's profile until this requirement is met.
5.9 Any Tutor who, in Hello Tutor's reasonable opinion, fails to comply with these terms and conditions may be immediately barred from using the platform and any related services. Hello Tutor reserves the right to cancel any existing Bookings in such circumstances.
5.10 Tutors must take all reasonable precautions to ensure they work in a safe environment and are responsible for taking out and maintaining their own insurance policies to cover the work they undertake.
5.11 Tutor Fees are set by Hello Tutor and are determined by the subject, education level, and number of Lessons included in the Student's subscription at the time of booking. Tutors must not offer their services to Students matched through Hello Tutor outside of the platform or at any rate other than that set by Hello Tutor.
5.12 Tutors agree that they will be ranked on the platform based on a combination of profile completeness, Student ratings, and number of Lessons taught. Positive Student ratings, prompt responses to messages from Hello Tutor, and a greater number of Lessons taught will contribute to a higher ranking in the platform's search results. Hello Tutor reserves the right to change the way Tutors are ranked at any time.
5.13 Tutors must respond to messages received from Hello Tutor without undue delay and cooperate promptly with Hello Tutor in connection with the arrangement of Bookings and Lessons.
5.14 All meetings with a Student matched via the Hello Tutor platform, including Lessons, trial sessions, or introductory calls, must be arranged through Hello Tutor and recorded as a Booking on the platform. Tutors agree not to solicit Students or disintermediate Hello Tutor, or attempt to do so, at the time of booking any Lesson with any Student, during any period of confirmed Bookings with any Student, or at any time within six months of the date of the most recent Booking with the relevant Student (the "Tutor Restriction Period").
5.15 Bookings will only be arranged by Hello Tutor in accordance with the confirmed requirements of the Student. If a Lesson is not delivered for a Booking that was arranged without the Student's instruction, Hello Tutor will manage the refund process on behalf of the Student and will instruct its payment provider to return any Tutor Fee received for those Bookings to the Student accordingly.
5.16 Tutors must be ready and available at the scheduled start time of a Lesson and must notify Hello Tutor immediately via the platform if a Student has not attended within 15 minutes of the scheduled start time. If a Tutor fails to do so, Hello Tutor will manage the refund process on behalf of the Student and will instruct its payment provider to return any Tutor Fee received for the relevant Booking to the Student accordingly.
5.17 Tutors must not complete, or intend to complete, coursework, essays, assignments, or any similar academic work on behalf of Students.
5.18 Tutors must ensure that all written communication in connection with Lessons takes place via the platform's messaging system. Bookings are arranged by Hello Tutor on behalf of the Student and Tutor and must not be arranged directly between Tutors and Students outside of the platform.
5.19 Tutors shall indemnify Hello Tutor for all claims and liabilities arising out of any use by the Tutor of the platform, including any costs and expenses incurred by Hello Tutor as a result.
5.20 Tutors are responsible for ensuring they have the correct equipment and a stable internet connection to access the Online Classroom before an Online Lesson. If a Tutor is unable to access the Online Classroom for reasons within their own control, Hello Tutor will manage the refund process on behalf of the Student and will instruct its payment provider to return any Tutor Fee received for the relevant Lesson to the Student accordingly.
5.21 Tutors are responsible for ensuring they are at the correct Lesson location and ready to teach at the agreed time. If a Tutor is running late, they must notify Hello Tutor immediately via the platform so that Hello Tutor can inform the Student and agree any revised start time on the Tutor's behalf. If a Tutor fails to do so, Hello Tutor will manage the refund process on behalf of the Student and will instruct its payment provider to return any Tutor Fee received for the relevant Booking to the Student accordingly.
5.22 Tutors acknowledge that all Lessons may be recorded by Hello Tutor and agree to the storage and use of such recordings for safeguarding and quality purposes.
5.23 Tutors acknowledge and agree that recordings of Lessons may be shared with Students where appropriate.
5.24 Tutors are responsible for their own tax obligations, including any income tax or business registration requirements applicable under UAE law, arising from their use of the platform.
6. Payment
6.1 The Lesson Fee payable by a Student for a Lesson will be displayed on the platform at the time of confirming a Booking. The Lesson Fee will also be communicated in Lesson reminder notifications and in payment confirmation messages following each Lesson.
6.2 The Lesson Fee is determined by the subject, education level, and number of Lessons included in the Student's subscription at the time of booking, as displayed on the platform. The Lesson Fee comprises the Tutor Fee and Hello Tutor's Service Fee. All fees are inclusive of any applicable VAT or other taxes as required by UAE law.
6.3 The Service Fee is the portion of the Lesson Fee retained by Hello Tutor in exchange for the provision of the matching, booking, and platform services described in clause 2 of these terms and conditions. The Service Fee is included within the subscription price displayed on the platform at the time of booking and is not charged separately to the Student.
6.4 The Student authorises Hello Tutor to instruct its payment provider to charge their registered debit or credit card 24 hours after the scheduled end time of each Lesson for the Lesson Fee attached to the relevant Booking.
6.5 If a Student cancels a Booking within 24 hours of a Lesson being due to commence, payment may be taken less than 24 hours after the Lesson was due to end.
6.6 If a Student makes a Complaint, charges may still be processed as usual and refunded as appropriate in accordance with these terms and conditions.
6.7 For Online Lessons, the Student will be charged the full Lesson Fee provided the Tutor attended the Online Classroom for at least 15 minutes from the Lesson's scheduled start time. No charge will be made to the Student if the Tutor does not attend for at least the first 15 minutes of the Lesson.
6.8 If a Lesson does not take place because a Student does not attend, whether in person or via the Online Classroom, the Student will be charged the full Lesson Fee.
6.9 Payment processing services on the Hello Tutor platform are provided by a third-party payment provider. By agreeing to these terms and conditions, Users agree to be bound by that provider's applicable terms, as amended from time to time. Tutors agree to provide Hello Tutor with accurate and complete information to facilitate payment processing, and authorise Hello Tutor to share such information with its payment provider as required.
6.10 Tutor Fees will ordinarily be transferred to the Tutor's nominated bank account within 14 days following a completed Lesson, provided all required identity and account verification has been completed.
6.11 Tutor earnings may be held pending completion of any verification process required by Hello Tutor or its payment provider.
7. Cancellations
7.1 A Student may cancel a Booking at any point before the scheduled start time of a Lesson, subject to the charges set out in this clause.
7.2 A Student may only cancel a Lesson by cancelling the relevant Booking through the platform. Cancellations made by any other means will not be recognised and charges may still be applied to the Student's account.
7.3 If a Student cancels a Booking more than 24 hours before a Lesson is due to commence, 50% of the Lesson Fee will be forfeited and Hello Tutor will instruct its payment provider to charge the Student accordingly.
7.4 If a Student cancels a Booking within 24 hours of a Lesson being due to commence, 100% of the Lesson Fee is payable and Hello Tutor will instruct its payment provider to charge the Student the full Lesson Fee.
7.5 If a Tutor cancels a Booking, the Student will receive a full refund of any Lesson Fee paid. Hello Tutor will manage the refund process and instruct its payment provider accordingly.
7.6 Bookings cannot be cancelled after a Lesson has started. Lessons which are not cancelled before the start time but are not attended by the Student will be charged at their full price. If there are genuine extenuating circumstances, a full refund may be considered at the sole discretion of Hello Tutor.
8. Referral Credit
8.1 Credit will be awarded to the referee once their account has been set up and verified on the platform.
8.2 Credit will be awarded to the referrer after the referee has attended their first paid Lesson.
8.3 Referrers must be existing registered Hello Tutor Users. Referees must not have previously registered with Hello Tutor.
8.4 In the event of a referee booking but not attending their first paid Lesson, credit will not be added to the referrer's account. If credit has already been awarded, it will be cancelled.
8.5 Credit will not be awarded for introductory or free sessions. Credit can only be earned in connection with a paid Lesson.
8.6 Referees and referrers are responsible for any tax implications that may arise from receiving platform credit under applicable UAE law.
8.7 Hello Tutor reserves the right to suspend referral credit entitlements where it believes referral methods are inappropriate or fraudulent.
8.8 Hello Tutor credit cannot be exchanged for cash or cash equivalents.
8.9 Any credit awarded will be valid for three months from the date of award. Credit that is unused after this period will expire.
8.10 Hello Tutor reserves the right to cancel any credit awarded in the event of suspected suspicious or fraudulent activity by either the referee or the referrer.
8.11 Hello Tutor's decision as to whether a referee or referrer is entitled to credit is final and binding.
8.12 Hello Tutor reserves the right to change the terms relating to referral credit or to suspend the referral programme at any time and for any reason.
9. Missed Lessons and Complaints
9.1 A Complaint covers any situation in which a Student seeks a refund as a result of the service provided by a Tutor, including but not limited to a Missed Lesson (where the Tutor did not attend a booked Lesson) or a quality claim (where the Student believes the service provided by the Tutor fell below the standard they reasonably expected).
9.2 A Student should inform Hello Tutor of a Complaint by chat or email within 96 hours after the scheduled finish time of the relevant Lesson.
9.3 When a Complaint has been received from a Student, Hello Tutor will contact the Tutor within 72 hours of the Complaint being received, by email and notification, to inform the Tutor that a Complaint has been raised.
9.4 Where a Student notifies Hello Tutor of a Complaint within 96 hours of the scheduled finish time of the relevant Lesson, the Tutor has 48 hours to notify Hello Tutor through the platform of their intention to dispute the Complaint. If the Tutor does not dispute the Complaint within 48 hours of being notified, Hello Tutor will instruct its payment provider to process a full refund to the Student of the Tutor Fee. Hello Tutor reserves the right, as a goodwill gesture, to also refund the Service Fee for the relevant Booking. Hello Tutor will inform the Student promptly of the outcome by email.
9.5 Where a Student notifies Hello Tutor of a Complaint more than 96 hours after the scheduled finish time of the relevant Lesson, Hello Tutor will review the Complaint and notify the Tutor of its findings. If Hello Tutor determines the Complaint is not upheld, Hello Tutor will inform the Student accordingly and no refund will be issued. If Hello Tutor determines the Complaint is upheld, it will manage the refund process and instruct its payment provider accordingly.
9.6 Where a Complaint cannot be resolved through Hello Tutor's complaints process, the Student is entitled to pursue the matter directly against the Tutor. Hello Tutor accepts no liability in relation to Complaints or the standard of services provided by a Tutor.
9.7 If Hello Tutor determines that a Missed Lesson occurred as a result of Hello Tutor's failure to meet its obligations under clause 2.2 of these terms and conditions, Hello Tutor will refund to the Student any Service Fee paid for that Lesson.
9.8 Hello Tutor reserves the right to offer any Student, as a gesture of goodwill, a payment equivalent to the full Lesson Fee. Such a payment will be made solely at Hello Tutor's discretion.
10. Failed Payments
10.1 A Failed Payment is an outstanding Lesson Fee for a Booking for which Hello Tutor's payment provider has been unable to make a successful charge against the payment details provided by the Student.
10.2 Where a Failed Payment remains outstanding 48 and 72 hours after the scheduled end of the relevant Lesson, the Student authorises Hello Tutor to automatically instruct its payment provider to retry the charge.
10.3 The Student may also give Hello Tutor consent by chat, email, or through the platform to retry payment for any outstanding Failed Payment at any time.
10.4 As the agent of the Tutor, Hello Tutor reserves the right to cancel Lessons and their associated Bookings with a Student who has an outstanding Failed Payment, in order to protect the Tutor from further loss of earnings.
10.5 Where a Failed Payment remains outstanding 96 hours after the scheduled end of the relevant Lesson, Hello Tutor will cancel all of that Student's further Bookings and inform the Tutor. Hello Tutor will not arrange any further Bookings with the Student until the Failed Payment has been settled.
10.6 As the agent of the Tutor, Hello Tutor may continue to seek payment for Failed Payments from the Student for up to ninety days following the scheduled end of the relevant Lesson, by contacting the Student by email, notification, or other means.
10.7 The Student accepts that Hello Tutor reserves the right to refer unpaid debts to a third-party debt collection service, and acknowledges that this may affect their credit record.
10.8 Hello Tutor will not be liable to the Tutor for any lost earnings resulting from a Failed Payment.
10.9 Hello Tutor reserves the right, without obligation and entirely at its own discretion, to pay the Tutor as a goodwill gesture an amount equal to the Tutor Fee for any Lesson affected by a Failed Payment.
11. Child Protection and Safeguarding
11.1 Hello Tutor is committed to providing a safe experience in which young learners can receive tuition. The safety and wellbeing of children is of paramount importance to us.
11.2 Any User who is the parent or legal guardian of a learner under the age of 18 who has a Lesson with a Tutor should not leave the child in the unsupervised sole care of that Tutor during a session.
11.3 All Tutors must comply with Hello Tutor's Safeguarding Policy, as published on the platform, and all relevant UAE legislation and guidance relating to the protection of children.
11.4 If any User has a concern regarding child protection or the safety of a learner, they must contact Hello Tutor immediately at safeguarding@hellotutor.me.
11.5 Hello Tutor has a designated Safeguarding Officer who is responsible for handling all safeguarding concerns raised through the platform.
11.6 Hello Tutor will cooperate fully with UAE law enforcement and any relevant regulatory authority in connection with any safeguarding concern or suspected criminal activity involving a User.
12. Classes: Student Responsibilities
12.1 Students must be at least 18 years old to book a group class. Learners under the age of 18 must be represented by a parent or legal guardian who provides consent for their enrolment. Hello Tutor is not responsible for any dispute between a person under 18 and their parent or guardian regarding consent.
12.2 Students may cancel enrolment in a class without charge by giving more than 72 hours notice before the first session of the class.
12.3 When a Booking for a class is confirmed, the Student enters into a direct contract with the Tutor for the provision of that class. Hello Tutor's role is limited to facilitating the match and providing the booking and payment infrastructure, and Hello Tutor accepts no liability in relation to the Tutor's delivery of class sessions.
12.4 If a Student is unable to attend one or more sessions within a class, no partial refunds will be given for sessions not attended.
12.5 Students are responsible for ensuring they have the necessary equipment and internet connection to access the Online Classroom before each class session. No refunds will be made where a Student is unable to access the Online Classroom for reasons within their own control.
12.6 Refunds for classes may be subject to Hello Tutor's discretion in accordance with applicable UAE consumer protection rights.
12.7 Students acknowledge that all class sessions may be recorded by Hello Tutor and agree to the storage and use of such recordings for safeguarding and quality purposes.
13. Classes: Tutor Responsibilities (T)
13.1 Tutors agree that Hello Tutor reserves the right to cancel a class before it commences, by giving the Tutor at least 24 hours notice wherever possible.
13.2 Tutors are responsible for ensuring they have the correct equipment and internet connection to access the Online Classroom before each class session.
13.3 If a Tutor is unable to attend one or more scheduled sessions within a class, they must give Hello Tutor at least 24 hours notice ahead of the affected session wherever possible.
13.4 Tutors agree that Hello Tutor reserves the right to withhold payment for any class sessions that are not delivered as scheduled.
13.5 Tutors agree to deliver class sessions in accordance with the schedule and learning plan submitted to and approved by Hello Tutor.
13.6 Tutors agree to use only the Online Classroom provided by Hello Tutor for the delivery of class sessions. In the event of any technical issue with the classroom, Tutors must contact Hello Tutor immediately to arrange an alternative solution.
13.7 Tutors acknowledge that all class sessions may be recorded by Hello Tutor and agree to the storage and use of such recordings for safeguarding and quality purposes.
14. Intellectual Property
14.1 When submitting material to Hello Tutor, Students and Tutors grant to Hello Tutor a non-exclusive, royalty-free, perpetual licence to copy, modify, distribute, display publicly, and create derivative works from that material for the purposes of operating and promoting the platform.
14.2 Users are responsible for all content they upload, post, publish, or share on the platform, including but not limited to code, video, images, data, text, software, photographs, graphics, and messages.
14.3 Users agree not to upload or share any content that:
- infringes any copyright, intellectual property right, or other proprietary right of any person or entity
- the User does not have the right to share under any applicable law or contractual obligation
- contains software viruses, malware, or any code designed to disrupt, damage, or limit the functionality of any computer system or network
- creates a privacy or security risk to any person
- constitutes unsolicited advertising, spam, chain letters, or any other form of unauthorised solicitation
- is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, pornographic, or otherwise objectionable
- in Hello Tutor's sole judgement, restricts or inhibits any other person from using or enjoying the platform, or exposes Hello Tutor or its Users to any form of harm or liability
14.4 Hello Tutor reserves the right to investigate and take appropriate action against anyone who violates this clause, including removing offending content, suspending or terminating accounts, and reporting Users to the relevant UAE authorities.
14.5 Users grant Hello Tutor permission to use any images they have independently created and uploaded to the platform for any purpose, including marketing and promotional use, without restriction, prior notice, or compensation.
14.6 The Hello Tutor name, logo, platform design, and all related branding are the intellectual property of Hello Tutor LLC. Users must not use, reproduce, or imitate any Hello Tutor branding without prior written consent.
15. Disclaimers and Limitation of Liability
15.1 Nothing in these terms and conditions limits or excludes Hello Tutor's liability for death or personal injury caused by its negligence, or for any other liability that cannot lawfully be excluded or limited under UAE law.
15.2 All Users must give Hello Tutor a reasonable opportunity to remedy any matter for which Hello Tutor may be liable before incurring any costs to remedy the matter themselves.
15.3 Hello Tutor shall not be liable for any loss or damage caused by it or its employees or agents in circumstances where there is no breach of a legal duty of care owed by Hello Tutor; where such loss or damage was not reasonably foreseeable by both parties; or where such loss or damage is caused by the User's own failure to comply with these terms and conditions.
15.4 To the extent permitted by UAE law, the User will be liable for any reasonably foreseeable loss or damage Hello Tutor suffers as a result of the User's breach of these terms and conditions or misuse of the platform.
15.5 To the extent permitted by UAE law, Hello Tutor's total liability to a User in respect of any one event or series of related events is limited to the total Service Fees paid by that User in the 12 months before the event giving rise to the claim, or AED 500, whichever is higher.
15.6 To the extent permitted by UAE law, Hello Tutor will not be liable for any economic losses (including loss of revenue, profits, or anticipated savings), loss of goodwill or reputation, or any special, indirect, or consequential losses, even where Hello Tutor has been advised of the possibility of such losses.
15.7 These terms and conditions constitute the entire agreement between the parties in respect of their subject matter and supersede all prior communications, representations, and agreements.
16. Changes to These Terms and Conditions
16.1 Hello Tutor may change these terms and conditions by posting the revised version on the platform at least 14 days before the changes take effect. Users are encouraged to check the platform from time to time for updates.
16.2 Users will be bound by the revised terms and conditions if they continue to use the platform or its services following the effective date of the changes.
16.3 Where changes are material, Hello Tutor will notify Users by email or via a notice on the platform before they take effect.
17. Governing Law and Jurisdiction
17.1 These terms and conditions, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the United Arab Emirates.
17.2 Any dispute arising under or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, unless otherwise required by applicable law.
17.3 If any clause or part of these terms and conditions is found to be unenforceable under UAE law, the remaining terms and conditions will continue in full force and effect.

18.1 For general enquiries, Users may contact Hello Tutor through the support section of the platform or by emailing support@hellotutor.me.
18.2 For privacy-related enquiries or data rights requests, Users should contact privacy@hellotutor.me.
18.3 For safeguarding concerns, Users should contact safeguarding@hellotutor.me.
18.4 Hello Tutor will endeavour to acknowledge all enquiries within 5 working days and to respond in full within a reasonable time frame.
19. Definitions
19.1 "Booking" means the booking attached to an individual Lesson or class session on the platform, arranged by Hello Tutor on behalf of the Student and Tutor.
19.2 "Complaint" means a claim by a Student that either the service provided by a Tutor fell below the standard the Student reasonably expected, or that there was a Missed Lesson.
19.3 "Content" means all information of whatever kind, including profiles, messages, reviews, and other material published, stored, or sent on or in connection with the platform.
19.4 "Failed Payment" means an outstanding Lesson Fee for a Booking for which Hello Tutor's payment provider has been unable to make a successful charge against the payment details provided by the Student.
19.5 "Hello Tutor" means Hello Tutor LLC, a company registered and operating in Dubai, United Arab Emirates, and the operator of the Hello Tutor platform at app.hellotutor.me.
19.6 "Lesson" means, unless otherwise specified, a one-to-one tuition session between a Student and a Tutor, including both in-person and online sessions.
19.7 "Lesson Fee" means the total fee payable by the Student for a Lesson, comprising the Tutor Fee and the Service Fee, as determined by the Student's subscription.
19.8 "Missed Lesson" means a claim by a Student that they did not receive a Lesson for which there was a Booking on the platform.
19.9 "Online Classroom" means Hello Tutor's own online lesson space made available to Users at the time of booked Online Lessons.
19.10 "Online Lesson" means a one-to-one tuition session between a Student and a Tutor delivered through the Online Classroom.
19.11 "Platform" means the Hello Tutor website, mobile applications, and all related services available at app.hellotutor.me.
19.12 "Review" means any review, comment, or rating submitted by a User in respect of a Tutor or Lesson.
19.13 "Service Fee" means the portion of the Lesson Fee retained by Hello Tutor for the provision of its matching, booking, and platform services, as described in clause 6. The Service Fee is included within the Lesson Fee and is not charged separately.
19.14 "Subscription" means a subscription package purchased by a Student or Parent on the platform, which determines the subject, education level, and number of Lessons available to the Student at the applicable Lesson Fee.
19.15 "Student" means a User who has registered a student account on the platform. The Student must be at least 18 years old. Where the learner is under 18, the Student will be their parent or legal guardian.
19.16 "Student Restriction Period" means the period defined in clause 4.9, being at the time of booking any Tutor, during any period of confirmed Bookings with any Tutor, or at any time within six months of the date of the most recent Booking with the relevant Tutor matched through the platform.
19.17 "Tutor" means a User who has registered a tutor account on the platform.
19.18 "Tutor Fee" means that part of the Lesson Fee that is collected by Hello Tutor as agent for the Tutor, as described in clause 6. The Tutor Fee is set by Hello Tutor and is determined by the subject, education level, and number of Lessons included in the Student's subscription.
19.19 "Tutor Restriction Period" means the period defined in clause 5.14, being at the time of any meeting with any Student, during any period of confirmed Bookings with any Student, or at any time within six months of the date of the most recent Booking with the relevant Student.
19.20 "User" means any person who accesses or uses the Hello Tutor platform, whether or not they have registered an account.

Terms and Conditions
These terms and conditions apply to all Users of the Hello Tutor platform, including Students, parents, legal guardians, and Tutors, unless otherwise stated. Certain clauses marked with a "(T)" apply to Tutors only. Clause 5 applies to Tutors only. These terms and conditions replace any previous versions.
1. Introduction
1.1 Hello Tutor operates a platform that matches Students with Tutors based on their learning needs, subject requirements, and availability, and enables Students to book and pay for Lessons with the Tutors they are matched with. Hello Tutor is a matching service and is not a marketplace or reseller of tuition services. All of these terms and conditions apply to Students and Tutors unless they specifically state otherwise, or are marked with a "(T)", in which case they apply to Tutors only.
1.2 The Hello Tutor platform is owned and operated by Hello Tutor LLC, a company registered and operating in Dubai, United Arab Emirates. Hello Tutor's website is at hellotutor.me and the platform is accessible at app.hellotutor.me.
1.3 A User may register on the platform as a Student, a Parent, or a Tutor. A User may browse the platform without registering, but if a User does register, certain information will be stored to make future visits easier.
1.4 By registering on or using our platform, the User agrees to be bound by these terms and conditions. These terms and conditions are legally binding and every User should read them fully before agreeing to them. Please save or print these terms for future reference as Hello Tutor cannot guarantee they will remain accessible on the platform in their current form at all times. If a User does not wish to be bound by these terms, they should not use the platform.
1.5 (T) Where the person who agrees to these terms and conditions does so on behalf of a company or organisation, they confirm that they have the authority to act on behalf of that entity.
1.6 Certain words are defined in clause 19 (Definitions) of these terms and conditions and are capitalised throughout this document.
1.7 These terms and conditions are governed by the laws of the United Arab Emirates, including the UAE Federal Law No. 1 of 2006 on Electronic Commerce and Transactions, UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, and all other applicable UAE federal and emirate-level legislation.
2. Hello Tutor Rights and Responsibilities
This clause sets out what Hello Tutor commits to do.
2.1 To match Students with suitable Tutors based on their learning needs, subject requirements, and availability, and to enable Students to book and pay for Lessons with matched Tutors through the platform.
2.2 To maintain a functioning platform, including communication systems, a booking system, and an Online Classroom, wherever possible. Hello Tutor cannot guarantee that the platform will always be available or that it will always work without interruption, but it will use reasonable endeavours to keep it operational at all times. Scheduled maintenance may occasionally require the platform to be taken offline temporarily.
2.3 To communicate any planned maintenance or downtime to Users in advance wherever possible.
2.4 To use reasonable endeavours to keep the platform free from viruses, malware, and other harmful code.
2.5 To use reasonable endeavours to verify the identity of all Tutors and to check that background verification requirements have been met. Students who have concerns about a Tutor should contact Hello Tutor before proceeding with a Lesson.
2.6 To decide when a Tutor's profile is sufficiently complete and verified to be made live on the platform and accessible by other Users.
2.7 To communicate new Bookings, confirmations of Bookings, and cancellations to both Students and Tutors via the platform and by email, except where a User has changed their notification settings to exclude email communications.
2.8 To endeavour to ensure that each Student's payment of Lesson Fees and each Tutor's payment of Tutor Fees are processed promptly and ordinarily within 14 days of a Lesson being completed, where there is no Complaint or Failed Payment.
2.9 To endeavour to ensure that Complaints are considered promptly and in accordance with these terms and conditions.
2.10 To endeavour to ensure that refunds to Students are made promptly in accordance with these terms and conditions.
2.11 To endeavour to ensure that Failed Payments are followed up promptly and in accordance with these terms and conditions.
2.12 To take precautions that Hello Tutor considers appropriate to protect Students' and Tutors' personal information, in accordance with our Privacy Policy.
2.13 To monitor activity posted on the platform and messages sent on the platform in order to facilitate matches, prevent misuse of the platform, and safeguard all Users, as set out in these terms and conditions.
2.14 To record all Online Lessons (except where an unforeseen technical malfunction occurs) and to store those recordings for a minimum of 28 days and a maximum of one year for safeguarding and quality purposes. These recordings remain the property of Hello Tutor.
2.15 To regularly review these terms and conditions and our Safeguarding and Privacy Policies to ensure they remain adequate and up to date.
3. User Responsibilities
This clause applies to all Users, including Students, parents, legal guardians, and Tutors.
3.1 Users are responsible for their own security in connection with their use of the platform, both online and offline.
3.2 Users are solely responsible for all material they post on the platform, including messages sent, and must not post defamatory, offensive, misleading, or illegal material.
3.3 Users must immediately report to Hello Tutor any defamatory, offensive, or illegal material they encounter on the platform.
3.4 Users must exercise their own judgement regarding the accuracy of information provided on the platform. Hello Tutor cannot and does not guarantee that all content on the platform is complete, accurate, or up to date.
3.5 Users must contact Hello Tutor immediately if they believe their account password or login credentials have been compromised. Users will remain responsible for any activity conducted on their account until Hello Tutor has been notified of the compromise.
3.6 Users must not use the platform with the intention of engaging directly with other Users outside of the Hello Tutor environment so as to circumvent Hello Tutor's services. Users must not promote opportunities or services of any company other than Hello Tutor on the platform.
3.7 Users agree to abide by the Privacy Policy and Safeguarding Policy as published on the platform.
3.8 Any User who fails, in Hello Tutor's reasonable opinion, to comply with these terms and conditions may be immediately suspended from using the platform and any related services. Hello Tutor reserves the right to cancel any existing Bookings in such circumstances.
3.9 Users must not use the platform to send unsolicited commercial communications, spam, or promotional material to other Users.
3.10 Users must not attempt to gain unauthorised access to any part of the platform, its systems, or the accounts of other Users.
4. Student Responsibilities
4.1 Hello Tutor is not responsible for the acts or omissions of Students or Tutors and is solely responsible for its own acts or omissions.
4.2 Students must be at least 18 years old to register for an account and book a Tutor for themselves or another learner. Learners under the age of 18 must be represented by a parent or legal guardian who provides their consent for the learner to receive tuition. Hello Tutor is not responsible for any dispute between a person under the age of 18 and a parent or guardian regarding consent.
4.3 Students must ensure that all of their personal details and contact information on the platform are accurate and kept up to date. Hello Tutor will contact Students by email and through the platform.
4.4 When a Booking is made more than 24 hours in advance of the start time of the first Lesson, Students have up to 12 hours before their first Lesson with a new Tutor is due to commence to confirm the Booking. When a Booking is made within 24 hours of the start time, Students have up to 2 hours before their first Lesson with a new Tutor is due to commence to confirm the Booking.
4.5 To confirm a Booking for their first Lesson with a Tutor, the Student must have valid payment details entered and saved on the platform.
4.6 By confirming their Booking for their first Lesson with a Tutor, the Student authorises Hello Tutor to arrange further Bookings on their behalf and to take payment of its Service Fee and, as agent for the Tutor, payment of the Tutor Fee for each Lesson (which together form the total Lesson Fee), in accordance with these terms and conditions. Further Bookings arranged by Hello Tutor on behalf of a Student after the first confirmed Lesson will therefore be confirmed automatically.
4.7 When a Booking is confirmed, the Student enters into a direct contract with the Tutor for the provision of Lessons. Hello Tutor's role is limited to facilitating the match and providing the booking and payment infrastructure, and Hello Tutor accepts no liability in relation to the Tutor's delivery of those Lessons.
4.8 When a confirmed Booking exists, the Student must ensure that they have a valid debit or credit card registered on the platform with sufficient funds to cover the Booking.
4.9 Students agree not to circumvent or disintermediate, or attempt to circumvent or disintermediate, Hello Tutor in any way at the time of booking any Tutor, during any period of confirmed Bookings with any Tutor, or at any time within six months of the date of the most recent Booking with the relevant Tutor (the "Student Restriction Period"). Save where Hello Tutor has barred the relevant Student or Tutor, all Lessons within the Student Restriction Period with a Tutor matched through the platform must be booked through Hello Tutor.
4.10 Students must ensure they have provided Hello Tutor with all necessary information to allow the Lesson to take place, including any relevant learning objectives, materials, or, for in-person Lessons, the correct location details. If a Lesson is to take place at the Student's location, the Student must ensure an appropriate and safe setting for tuition is available.
4.11 Students must use their own judgement about the suitability of any Tutor detailed on the platform. Although Hello Tutor undertakes certain checks before approving a Tutor's profile, Students are responsible for verifying the credentials, qualifications, experience, and any other claims made by a Tutor with whom they confirm a Booking.
4.12 Students are responsible for checking that any Bookings arranged by Hello Tutor on their behalf are correct. Students will be notified of such Bookings by email and through the platform.
4.13 Students are responsible for ensuring they have the necessary equipment and a stable internet connection to access the Online Classroom before an Online Lesson. No refunds will be made in the event that a Student is unable to access the Online Classroom for reasons within the Student's control.
4.14 Any Student who fails, in Hello Tutor's reasonable opinion, to comply with these terms and conditions may be immediately barred from using the platform and any related services. Hello Tutor reserves the right to cancel any existing Bookings in such circumstances.
4.15 Students may cancel a Booking at any time before the scheduled start time of a Lesson, subject to the cancellation charges set out in clause 7.
4.16 Nothing in these terms and conditions affects a Student's rights under applicable UAE consumer protection legislation.
4.17 By agreeing to these terms and conditions, a Student is not obliged to book any Tutor or make any Bookings.
4.18 Subject to paying for any Bookings used, a Student may cease using the Hello Tutor service at any time.
4.19 Students agree not to independently record Lessons by any means outside of Hello Tutor's own recording system, and must not store or share any such recordings.
5. Tutor Status and Responsibilities (T)
5.1 Tutors are independent contractors and are not employees of Hello Tutor. Tutors are solely responsible for their own actions both on and off the platform.
5.2 Tutors must be at least 18 years old to register on the platform.
5.3 Tutors must be legally entitled to work and provide tutoring services in the UAE and must hold all necessary permits, visas, or authorisations required to do so on a freelance or self-employed basis.
5.4 Tutors must hold and maintain a valid work permit or freelance permit issued by the Ministry of Human Resources and Emiratisation (MOHRE), or an equivalent permit issued by the relevant free zone authority, that legally entitles them to provide tutoring or educational services in the UAE on a self-employed or freelance basis. Tutors must provide Hello Tutor with evidence of their permit status upon request. Failure to hold or maintain a valid and applicable permit will result in the immediate suspension of the Tutor's profile until this requirement is met.
5.5 If Tutors teach Students who are under 18, they must ensure that those Students are represented by a parent or legal guardian who has given their consent for the Student to receive tuition.
5.6 Tutors are responsible for ensuring that all personal information they provide on the platform, including their profile, qualifications, and personal statements, is accurate, complete, and not misleading. Tutors must update this information promptly to maintain its accuracy.
5.7 Tutors must disclose to Hello Tutor any criminal convictions or cautions they hold at the time of registration, and must disclose any convictions or cautions received at any time after registering on the platform for as long as they remain a registered Tutor.
5.8 All Tutors must have completed a valid background check dated within the last three years to be approved and to continue to be listed on the platform. Tutors must provide Hello Tutor with evidence of their background check status upon request. Failure to maintain a valid background check will result in the suspension of the Tutor's profile until this requirement is met.
5.9 Any Tutor who, in Hello Tutor's reasonable opinion, fails to comply with these terms and conditions may be immediately barred from using the platform and any related services. Hello Tutor reserves the right to cancel any existing Bookings in such circumstances.
5.10 Tutors must take all reasonable precautions to ensure they work in a safe environment and are responsible for taking out and maintaining their own insurance policies to cover the work they undertake.
5.11 Tutor Fees are set by Hello Tutor and are determined by the subject, education level, and number of Lessons included in the Student's subscription at the time of booking. Tutors must not offer their services to Students matched through Hello Tutor outside of the platform or at any rate other than that set by Hello Tutor.
5.12 Tutors agree that they will be ranked on the platform based on a combination of profile completeness, Student ratings, and number of Lessons taught. Positive Student ratings, prompt responses to messages from Hello Tutor, and a greater number of Lessons taught will contribute to a higher ranking in the platform's search results. Hello Tutor reserves the right to change the way Tutors are ranked at any time.
5.13 Tutors must respond to messages received from Hello Tutor without undue delay and cooperate promptly with Hello Tutor in connection with the arrangement of Bookings and Lessons.
5.14 All meetings with a Student matched via the Hello Tutor platform, including Lessons, trial sessions, or introductory calls, must be arranged through Hello Tutor and recorded as a Booking on the platform. Tutors agree not to solicit Students or disintermediate Hello Tutor, or attempt to do so, at the time of booking any Lesson with any Student, during any period of confirmed Bookings with any Student, or at any time within six months of the date of the most recent Booking with the relevant Student (the "Tutor Restriction Period").
5.15 Bookings will only be arranged by Hello Tutor in accordance with the confirmed requirements of the Student. If a Lesson is not delivered for a Booking that was arranged without the Student's instruction, Hello Tutor will manage the refund process on behalf of the Student and will instruct its payment provider to return any Tutor Fee received for those Bookings to the Student accordingly.
5.16 Tutors must be ready and available at the scheduled start time of a Lesson and must notify Hello Tutor immediately via the platform if a Student has not attended within 15 minutes of the scheduled start time. If a Tutor fails to do so, Hello Tutor will manage the refund process on behalf of the Student and will instruct its payment provider to return any Tutor Fee received for the relevant Booking to the Student accordingly.
5.17 Tutors must not complete, or intend to complete, coursework, essays, assignments, or any similar academic work on behalf of Students.
5.18 Tutors must ensure that all written communication in connection with Lessons takes place via the platform's messaging system. Bookings are arranged by Hello Tutor on behalf of the Student and Tutor and must not be arranged directly between Tutors and Students outside of the platform.
5.19 Tutors shall indemnify Hello Tutor for all claims and liabilities arising out of any use by the Tutor of the platform, including any costs and expenses incurred by Hello Tutor as a result.
5.20 Tutors are responsible for ensuring they have the correct equipment and a stable internet connection to access the Online Classroom before an Online Lesson. If a Tutor is unable to access the Online Classroom for reasons within their own control, Hello Tutor will manage the refund process on behalf of the Student and will instruct its payment provider to return any Tutor Fee received for the relevant Lesson to the Student accordingly.
5.21 Tutors are responsible for ensuring they are at the correct Lesson location and ready to teach at the agreed time. If a Tutor is running late, they must notify Hello Tutor immediately via the platform so that Hello Tutor can inform the Student and agree any revised start time on the Tutor's behalf. If a Tutor fails to do so, Hello Tutor will manage the refund process on behalf of the Student and will instruct its payment provider to return any Tutor Fee received for the relevant Booking to the Student accordingly.
5.22 Tutors acknowledge that all Lessons may be recorded by Hello Tutor and agree to the storage and use of such recordings for safeguarding and quality purposes.
5.23 Tutors acknowledge and agree that recordings of Lessons may be shared with Students where appropriate.
5.24 Tutors are responsible for their own tax obligations, including any income tax or business registration requirements applicable under UAE law, arising from their use of the platform.
6. Payment
6.1 The Lesson Fee payable by a Student for a Lesson will be displayed on the platform at the time of confirming a Booking. The Lesson Fee will also be communicated in Lesson reminder notifications and in payment confirmation messages following each Lesson.
6.2 The Lesson Fee is determined by the subject, education level, and number of Lessons included in the Student's subscription at the time of booking, as displayed on the platform. The Lesson Fee comprises the Tutor Fee and Hello Tutor's Service Fee. All fees are inclusive of any applicable VAT or other taxes as required by UAE law.
6.3 The Service Fee is the portion of the Lesson Fee retained by Hello Tutor in exchange for the provision of the matching, booking, and platform services described in clause 2 of these terms and conditions. The Service Fee is included within the subscription price displayed on the platform at the time of booking and is not charged separately to the Student.
6.4 The Student authorises Hello Tutor to instruct its payment provider to charge their registered debit or credit card 24 hours after the scheduled end time of each Lesson for the Lesson Fee attached to the relevant Booking.
6.5 If a Student cancels a Booking within 24 hours of a Lesson being due to commence, payment may be taken less than 24 hours after the Lesson was due to end.
6.6 If a Student makes a Complaint, charges may still be processed as usual and refunded as appropriate in accordance with these terms and conditions.
6.7 For Online Lessons, the Student will be charged the full Lesson Fee provided the Tutor attended the Online Classroom for at least 15 minutes from the Lesson's scheduled start time. No charge will be made to the Student if the Tutor does not attend for at least the first 15 minutes of the Lesson.
6.8 If a Lesson does not take place because a Student does not attend, whether in person or via the Online Classroom, the Student will be charged the full Lesson Fee.
6.9 Payment processing services on the Hello Tutor platform are provided by a third-party payment provider. By agreeing to these terms and conditions, Users agree to be bound by that provider's applicable terms, as amended from time to time. Tutors agree to provide Hello Tutor with accurate and complete information to facilitate payment processing, and authorise Hello Tutor to share such information with its payment provider as required.
6.10 Tutor Fees will ordinarily be transferred to the Tutor's nominated bank account within 14 days following a completed Lesson, provided all required identity and account verification has been completed.
6.11 Tutor earnings may be held pending completion of any verification process required by Hello Tutor or its payment provider.
7. Cancellations
7.1 A Student may cancel a Booking at any point before the scheduled start time of a Lesson, subject to the charges set out in this clause.
7.2 A Student may only cancel a Lesson by cancelling the relevant Booking through the platform. Cancellations made by any other means will not be recognised and charges may still be applied to the Student's account.
7.3 If a Student cancels a Booking more than 24 hours before a Lesson is due to commence, 50% of the Lesson Fee will be forfeited and Hello Tutor will instruct its payment provider to charge the Student accordingly.
7.4 If a Student cancels a Booking within 24 hours of a Lesson being due to commence, 100% of the Lesson Fee is payable and Hello Tutor will instruct its payment provider to charge the Student the full Lesson Fee.
7.5 If a Tutor cancels a Booking, the Student will receive a full refund of any Lesson Fee paid. Hello Tutor will manage the refund process and instruct its payment provider accordingly.
7.6 Bookings cannot be cancelled after a Lesson has started. Lessons which are not cancelled before the start time but are not attended by the Student will be charged at their full price. If there are genuine extenuating circumstances, a full refund may be considered at the sole discretion of Hello Tutor.
8. Referral Credit
8.1 Credit will be awarded to the referee once their account has been set up and verified on the platform.
8.2 Credit will be awarded to the referrer after the referee has attended their first paid Lesson.
8.3 Referrers must be existing registered Hello Tutor Users. Referees must not have previously registered with Hello Tutor.
8.4 In the event of a referee booking but not attending their first paid Lesson, credit will not be added to the referrer's account. If credit has already been awarded, it will be cancelled.
8.5 Credit will not be awarded for introductory or free sessions. Credit can only be earned in connection with a paid Lesson.
8.6 Referees and referrers are responsible for any tax implications that may arise from receiving platform credit under applicable UAE law.
8.7 Hello Tutor reserves the right to suspend referral credit entitlements where it believes referral methods are inappropriate or fraudulent.
8.8 Hello Tutor credit cannot be exchanged for cash or cash equivalents.
8.9 Any credit awarded will be valid for three months from the date of award. Credit that is unused after this period will expire.
8.10 Hello Tutor reserves the right to cancel any credit awarded in the event of suspected suspicious or fraudulent activity by either the referee or the referrer.
8.11 Hello Tutor's decision as to whether a referee or referrer is entitled to credit is final and binding.
8.12 Hello Tutor reserves the right to change the terms relating to referral credit or to suspend the referral programme at any time and for any reason.
9. Missed Lessons and Complaints
9.1 A Complaint covers any situation in which a Student seeks a refund as a result of the service provided by a Tutor, including but not limited to a Missed Lesson (where the Tutor did not attend a booked Lesson) or a quality claim (where the Student believes the service provided by the Tutor fell below the standard they reasonably expected).
9.2 A Student should inform Hello Tutor of a Complaint by chat or email within 96 hours after the scheduled finish time of the relevant Lesson.
9.3 When a Complaint has been received from a Student, Hello Tutor will contact the Tutor within 72 hours of the Complaint being received, by email and notification, to inform the Tutor that a Complaint has been raised.
9.4 Where a Student notifies Hello Tutor of a Complaint within 96 hours of the scheduled finish time of the relevant Lesson, the Tutor has 48 hours to notify Hello Tutor through the platform of their intention to dispute the Complaint. If the Tutor does not dispute the Complaint within 48 hours of being notified, Hello Tutor will instruct its payment provider to process a full refund to the Student of the Tutor Fee. Hello Tutor reserves the right, as a goodwill gesture, to also refund the Service Fee for the relevant Booking. Hello Tutor will inform the Student promptly of the outcome by email.
9.5 Where a Student notifies Hello Tutor of a Complaint more than 96 hours after the scheduled finish time of the relevant Lesson, Hello Tutor will review the Complaint and notify the Tutor of its findings. If Hello Tutor determines the Complaint is not upheld, Hello Tutor will inform the Student accordingly and no refund will be issued. If Hello Tutor determines the Complaint is upheld, it will manage the refund process and instruct its payment provider accordingly.
9.6 Where a Complaint cannot be resolved through Hello Tutor's complaints process, the Student is entitled to pursue the matter directly against the Tutor. Hello Tutor accepts no liability in relation to Complaints or the standard of services provided by a Tutor.
9.7 If Hello Tutor determines that a Missed Lesson occurred as a result of Hello Tutor's failure to meet its obligations under clause 2.2 of these terms and conditions, Hello Tutor will refund to the Student any Service Fee paid for that Lesson.
9.8 Hello Tutor reserves the right to offer any Student, as a gesture of goodwill, a payment equivalent to the full Lesson Fee. Such a payment will be made solely at Hello Tutor's discretion.
10. Failed Payments
10.1 A Failed Payment is an outstanding Lesson Fee for a Booking for which Hello Tutor's payment provider has been unable to make a successful charge against the payment details provided by the Student.
10.2 Where a Failed Payment remains outstanding 48 and 72 hours after the scheduled end of the relevant Lesson, the Student authorises Hello Tutor to automatically instruct its payment provider to retry the charge.
10.3 The Student may also give Hello Tutor consent by chat, email, or through the platform to retry payment for any outstanding Failed Payment at any time.
10.4 As the agent of the Tutor, Hello Tutor reserves the right to cancel Lessons and their associated Bookings with a Student who has an outstanding Failed Payment, in order to protect the Tutor from further loss of earnings.
10.5 Where a Failed Payment remains outstanding 96 hours after the scheduled end of the relevant Lesson, Hello Tutor will cancel all of that Student's further Bookings and inform the Tutor. Hello Tutor will not arrange any further Bookings with the Student until the Failed Payment has been settled.
10.6 As the agent of the Tutor, Hello Tutor may continue to seek payment for Failed Payments from the Student for up to ninety days following the scheduled end of the relevant Lesson, by contacting the Student by email, notification, or other means.
10.7 The Student accepts that Hello Tutor reserves the right to refer unpaid debts to a third-party debt collection service, and acknowledges that this may affect their credit record.
10.8 Hello Tutor will not be liable to the Tutor for any lost earnings resulting from a Failed Payment.
10.9 Hello Tutor reserves the right, without obligation and entirely at its own discretion, to pay the Tutor as a goodwill gesture an amount equal to the Tutor Fee for any Lesson affected by a Failed Payment.
11. Child Protection and Safeguarding
11.1 Hello Tutor is committed to providing a safe experience in which young learners can receive tuition. The safety and wellbeing of children is of paramount importance to us.
11.2 Any User who is the parent or legal guardian of a learner under the age of 18 who has a Lesson with a Tutor should not leave the child in the unsupervised sole care of that Tutor during a session.
11.3 All Tutors must comply with Hello Tutor's Safeguarding Policy, as published on the platform, and all relevant UAE legislation and guidance relating to the protection of children.
11.4 If any User has a concern regarding child protection or the safety of a learner, they must contact Hello Tutor immediately at safeguarding@hellotutor.me.
11.5 Hello Tutor has a designated Safeguarding Officer who is responsible for handling all safeguarding concerns raised through the platform.
11.6 Hello Tutor will cooperate fully with UAE law enforcement and any relevant regulatory authority in connection with any safeguarding concern or suspected criminal activity involving a User.
12. Classes: Student Responsibilities
12.1 Students must be at least 18 years old to book a group class. Learners under the age of 18 must be represented by a parent or legal guardian who provides consent for their enrolment. Hello Tutor is not responsible for any dispute between a person under 18 and their parent or guardian regarding consent.
12.2 Students may cancel enrolment in a class without charge by giving more than 72 hours notice before the first session of the class.
12.3 When a Booking for a class is confirmed, the Student enters into a direct contract with the Tutor for the provision of that class. Hello Tutor's role is limited to facilitating the match and providing the booking and payment infrastructure, and Hello Tutor accepts no liability in relation to the Tutor's delivery of class sessions.
12.4 If a Student is unable to attend one or more sessions within a class, no partial refunds will be given for sessions not attended.
12.5 Students are responsible for ensuring they have the necessary equipment and internet connection to access the Online Classroom before each class session. No refunds will be made where a Student is unable to access the Online Classroom for reasons within their own control.
12.6 Refunds for classes may be subject to Hello Tutor's discretion in accordance with applicable UAE consumer protection rights.
12.7 Students acknowledge that all class sessions may be recorded by Hello Tutor and agree to the storage and use of such recordings for safeguarding and quality purposes.
13. Classes: Tutor Responsibilities (T)
13.1 Tutors agree that Hello Tutor reserves the right to cancel a class before it commences, by giving the Tutor at least 24 hours notice wherever possible.
13.2 Tutors are responsible for ensuring they have the correct equipment and internet connection to access the Online Classroom before each class session.
13.3 If a Tutor is unable to attend one or more scheduled sessions within a class, they must give Hello Tutor at least 24 hours notice ahead of the affected session wherever possible.
13.4 Tutors agree that Hello Tutor reserves the right to withhold payment for any class sessions that are not delivered as scheduled.
13.5 Tutors agree to deliver class sessions in accordance with the schedule and learning plan submitted to and approved by Hello Tutor.
13.6 Tutors agree to use only the Online Classroom provided by Hello Tutor for the delivery of class sessions. In the event of any technical issue with the classroom, Tutors must contact Hello Tutor immediately to arrange an alternative solution.
13.7 Tutors acknowledge that all class sessions may be recorded by Hello Tutor and agree to the storage and use of such recordings for safeguarding and quality purposes.
14. Intellectual Property
14.1 When submitting material to Hello Tutor, Students and Tutors grant to Hello Tutor a non-exclusive, royalty-free, perpetual licence to copy, modify, distribute, display publicly, and create derivative works from that material for the purposes of operating and promoting the platform.
14.2 Users are responsible for all content they upload, post, publish, or share on the platform, including but not limited to code, video, images, data, text, software, photographs, graphics, and messages.
14.3 Users agree not to upload or share any content that:
- infringes any copyright, intellectual property right, or other proprietary right of any person or entity
- the User does not have the right to share under any applicable law or contractual obligation
- contains software viruses, malware, or any code designed to disrupt, damage, or limit the functionality of any computer system or network
- creates a privacy or security risk to any person
- constitutes unsolicited advertising, spam, chain letters, or any other form of unauthorised solicitation
- is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, pornographic, or otherwise objectionable
- in Hello Tutor's sole judgement, restricts or inhibits any other person from using or enjoying the platform, or exposes Hello Tutor or its Users to any form of harm or liability
14.4 Hello Tutor reserves the right to investigate and take appropriate action against anyone who violates this clause, including removing offending content, suspending or terminating accounts, and reporting Users to the relevant UAE authorities.
14.5 Users grant Hello Tutor permission to use any images they have independently created and uploaded to the platform for any purpose, including marketing and promotional use, without restriction, prior notice, or compensation.
14.6 The Hello Tutor name, logo, platform design, and all related branding are the intellectual property of Hello Tutor LLC. Users must not use, reproduce, or imitate any Hello Tutor branding without prior written consent.
15. Disclaimers and Limitation of Liability
15.1 Nothing in these terms and conditions limits or excludes Hello Tutor's liability for death or personal injury caused by its negligence, or for any other liability that cannot lawfully be excluded or limited under UAE law.
15.2 All Users must give Hello Tutor a reasonable opportunity to remedy any matter for which Hello Tutor may be liable before incurring any costs to remedy the matter themselves.
15.3 Hello Tutor shall not be liable for any loss or damage caused by it or its employees or agents in circumstances where there is no breach of a legal duty of care owed by Hello Tutor; where such loss or damage was not reasonably foreseeable by both parties; or where such loss or damage is caused by the User's own failure to comply with these terms and conditions.
15.4 To the extent permitted by UAE law, the User will be liable for any reasonably foreseeable loss or damage Hello Tutor suffers as a result of the User's breach of these terms and conditions or misuse of the platform.
15.5 To the extent permitted by UAE law, Hello Tutor's total liability to a User in respect of any one event or series of related events is limited to the total Service Fees paid by that User in the 12 months before the event giving rise to the claim, or AED 500, whichever is higher.
15.6 To the extent permitted by UAE law, Hello Tutor will not be liable for any economic losses (including loss of revenue, profits, or anticipated savings), loss of goodwill or reputation, or any special, indirect, or consequential losses, even where Hello Tutor has been advised of the possibility of such losses.
15.7 These terms and conditions constitute the entire agreement between the parties in respect of their subject matter and supersede all prior communications, representations, and agreements.
16. Changes to These Terms and Conditions
16.1 Hello Tutor may change these terms and conditions by posting the revised version on the platform at least 14 days before the changes take effect. Users are encouraged to check the platform from time to time for updates.
16.2 Users will be bound by the revised terms and conditions if they continue to use the platform or its services following the effective date of the changes.
16.3 Where changes are material, Hello Tutor will notify Users by email or via a notice on the platform before they take effect.
17. Governing Law and Jurisdiction
17.1 These terms and conditions, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the United Arab Emirates.
17.2 Any dispute arising under or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, unless otherwise required by applicable law.
17.3 If any clause or part of these terms and conditions is found to be unenforceable under UAE law, the remaining terms and conditions will continue in full force and effect.

18.1 For general enquiries, Users may contact Hello Tutor through the support section of the platform or by emailing support@hellotutor.me.
18.2 For privacy-related enquiries or data rights requests, Users should contact privacy@hellotutor.me.
18.3 For safeguarding concerns, Users should contact safeguarding@hellotutor.me.
18.4 Hello Tutor will endeavour to acknowledge all enquiries within 5 working days and to respond in full within a reasonable time frame.
19. Definitions
19.1 "Booking" means the booking attached to an individual Lesson or class session on the platform, arranged by Hello Tutor on behalf of the Student and Tutor.
19.2 "Complaint" means a claim by a Student that either the service provided by a Tutor fell below the standard the Student reasonably expected, or that there was a Missed Lesson.
19.3 "Content" means all information of whatever kind, including profiles, messages, reviews, and other material published, stored, or sent on or in connection with the platform.
19.4 "Failed Payment" means an outstanding Lesson Fee for a Booking for which Hello Tutor's payment provider has been unable to make a successful charge against the payment details provided by the Student.
19.5 "Hello Tutor" means Hello Tutor LLC, a company registered and operating in Dubai, United Arab Emirates, and the operator of the Hello Tutor platform at app.hellotutor.me.
19.6 "Lesson" means, unless otherwise specified, a one-to-one tuition session between a Student and a Tutor, including both in-person and online sessions.
19.7 "Lesson Fee" means the total fee payable by the Student for a Lesson, comprising the Tutor Fee and the Service Fee, as determined by the Student's subscription.
19.8 "Missed Lesson" means a claim by a Student that they did not receive a Lesson for which there was a Booking on the platform.
19.9 "Online Classroom" means Hello Tutor's own online lesson space made available to Users at the time of booked Online Lessons.
19.10 "Online Lesson" means a one-to-one tuition session between a Student and a Tutor delivered through the Online Classroom.
19.11 "Platform" means the Hello Tutor website, mobile applications, and all related services available at app.hellotutor.me.
19.12 "Review" means any review, comment, or rating submitted by a User in respect of a Tutor or Lesson.
19.13 "Service Fee" means the portion of the Lesson Fee retained by Hello Tutor for the provision of its matching, booking, and platform services, as described in clause 6. The Service Fee is included within the Lesson Fee and is not charged separately.
19.14 "Subscription" means a subscription package purchased by a Student or Parent on the platform, which determines the subject, education level, and number of Lessons available to the Student at the applicable Lesson Fee.
19.15 "Student" means a User who has registered a student account on the platform. The Student must be at least 18 years old. Where the learner is under 18, the Student will be their parent or legal guardian.
19.16 "Student Restriction Period" means the period defined in clause 4.9, being at the time of booking any Tutor, during any period of confirmed Bookings with any Tutor, or at any time within six months of the date of the most recent Booking with the relevant Tutor matched through the platform.
19.17 "Tutor" means a User who has registered a tutor account on the platform.
19.18 "Tutor Fee" means that part of the Lesson Fee that is collected by Hello Tutor as agent for the Tutor, as described in clause 6. The Tutor Fee is set by Hello Tutor and is determined by the subject, education level, and number of Lessons included in the Student's subscription.
19.19 "Tutor Restriction Period" means the period defined in clause 5.14, being at the time of any meeting with any Student, during any period of confirmed Bookings with any Student, or at any time within six months of the date of the most recent Booking with the relevant Student.
19.20 "User" means any person who accesses or uses the Hello Tutor platform, whether or not they have registered an account.

Terms and Conditions
These terms and conditions apply to all Users of the Hello Tutor platform, including Students, parents, legal guardians, and Tutors, unless otherwise stated. Certain clauses marked with a "(T)" apply to Tutors only. Clause 5 applies to Tutors only. These terms and conditions replace any previous versions.
1. Introduction
1.1 Hello Tutor operates a platform that matches Students with Tutors based on their learning needs, subject requirements, and availability, and enables Students to book and pay for Lessons with the Tutors they are matched with. Hello Tutor is a matching service and is not a marketplace or reseller of tuition services. All of these terms and conditions apply to Students and Tutors unless they specifically state otherwise, or are marked with a "(T)", in which case they apply to Tutors only.
1.2 The Hello Tutor platform is owned and operated by Hello Tutor LLC, a company registered and operating in Dubai, United Arab Emirates. Hello Tutor's website is at hellotutor.me and the platform is accessible at app.hellotutor.me.
1.3 A User may register on the platform as a Student, a Parent, or a Tutor. A User may browse the platform without registering, but if a User does register, certain information will be stored to make future visits easier.
1.4 By registering on or using our platform, the User agrees to be bound by these terms and conditions. These terms and conditions are legally binding and every User should read them fully before agreeing to them. Please save or print these terms for future reference as Hello Tutor cannot guarantee they will remain accessible on the platform in their current form at all times. If a User does not wish to be bound by these terms, they should not use the platform.
1.5 (T) Where the person who agrees to these terms and conditions does so on behalf of a company or organisation, they confirm that they have the authority to act on behalf of that entity.
1.6 Certain words are defined in clause 19 (Definitions) of these terms and conditions and are capitalised throughout this document.
1.7 These terms and conditions are governed by the laws of the United Arab Emirates, including the UAE Federal Law No. 1 of 2006 on Electronic Commerce and Transactions, UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, and all other applicable UAE federal and emirate-level legislation.
2. Hello Tutor Rights and Responsibilities
This clause sets out what Hello Tutor commits to do.
2.1 To match Students with suitable Tutors based on their learning needs, subject requirements, and availability, and to enable Students to book and pay for Lessons with matched Tutors through the platform.
2.2 To maintain a functioning platform, including communication systems, a booking system, and an Online Classroom, wherever possible. Hello Tutor cannot guarantee that the platform will always be available or that it will always work without interruption, but it will use reasonable endeavours to keep it operational at all times. Scheduled maintenance may occasionally require the platform to be taken offline temporarily.
2.3 To communicate any planned maintenance or downtime to Users in advance wherever possible.
2.4 To use reasonable endeavours to keep the platform free from viruses, malware, and other harmful code.
2.5 To use reasonable endeavours to verify the identity of all Tutors and to check that background verification requirements have been met. Students who have concerns about a Tutor should contact Hello Tutor before proceeding with a Lesson.
2.6 To decide when a Tutor's profile is sufficiently complete and verified to be made live on the platform and accessible by other Users.
2.7 To communicate new Bookings, confirmations of Bookings, and cancellations to both Students and Tutors via the platform and by email, except where a User has changed their notification settings to exclude email communications.
2.8 To endeavour to ensure that each Student's payment of Lesson Fees and each Tutor's payment of Tutor Fees are processed promptly and ordinarily within 14 days of a Lesson being completed, where there is no Complaint or Failed Payment.
2.9 To endeavour to ensure that Complaints are considered promptly and in accordance with these terms and conditions.
2.10 To endeavour to ensure that refunds to Students are made promptly in accordance with these terms and conditions.
2.11 To endeavour to ensure that Failed Payments are followed up promptly and in accordance with these terms and conditions.
2.12 To take precautions that Hello Tutor considers appropriate to protect Students' and Tutors' personal information, in accordance with our Privacy Policy.
2.13 To monitor activity posted on the platform and messages sent on the platform in order to facilitate matches, prevent misuse of the platform, and safeguard all Users, as set out in these terms and conditions.
2.14 To record all Online Lessons (except where an unforeseen technical malfunction occurs) and to store those recordings for a minimum of 28 days and a maximum of one year for safeguarding and quality purposes. These recordings remain the property of Hello Tutor.
2.15 To regularly review these terms and conditions and our Safeguarding and Privacy Policies to ensure they remain adequate and up to date.
3. User Responsibilities
This clause applies to all Users, including Students, parents, legal guardians, and Tutors.
3.1 Users are responsible for their own security in connection with their use of the platform, both online and offline.
3.2 Users are solely responsible for all material they post on the platform, including messages sent, and must not post defamatory, offensive, misleading, or illegal material.
3.3 Users must immediately report to Hello Tutor any defamatory, offensive, or illegal material they encounter on the platform.
3.4 Users must exercise their own judgement regarding the accuracy of information provided on the platform. Hello Tutor cannot and does not guarantee that all content on the platform is complete, accurate, or up to date.
3.5 Users must contact Hello Tutor immediately if they believe their account password or login credentials have been compromised. Users will remain responsible for any activity conducted on their account until Hello Tutor has been notified of the compromise.
3.6 Users must not use the platform with the intention of engaging directly with other Users outside of the Hello Tutor environment so as to circumvent Hello Tutor's services. Users must not promote opportunities or services of any company other than Hello Tutor on the platform.
3.7 Users agree to abide by the Privacy Policy and Safeguarding Policy as published on the platform.
3.8 Any User who fails, in Hello Tutor's reasonable opinion, to comply with these terms and conditions may be immediately suspended from using the platform and any related services. Hello Tutor reserves the right to cancel any existing Bookings in such circumstances.
3.9 Users must not use the platform to send unsolicited commercial communications, spam, or promotional material to other Users.
3.10 Users must not attempt to gain unauthorised access to any part of the platform, its systems, or the accounts of other Users.
4. Student Responsibilities
4.1 Hello Tutor is not responsible for the acts or omissions of Students or Tutors and is solely responsible for its own acts or omissions.
4.2 Students must be at least 18 years old to register for an account and book a Tutor for themselves or another learner. Learners under the age of 18 must be represented by a parent or legal guardian who provides their consent for the learner to receive tuition. Hello Tutor is not responsible for any dispute between a person under the age of 18 and a parent or guardian regarding consent.
4.3 Students must ensure that all of their personal details and contact information on the platform are accurate and kept up to date. Hello Tutor will contact Students by email and through the platform.
4.4 When a Booking is made more than 24 hours in advance of the start time of the first Lesson, Students have up to 12 hours before their first Lesson with a new Tutor is due to commence to confirm the Booking. When a Booking is made within 24 hours of the start time, Students have up to 2 hours before their first Lesson with a new Tutor is due to commence to confirm the Booking.
4.5 To confirm a Booking for their first Lesson with a Tutor, the Student must have valid payment details entered and saved on the platform.
4.6 By confirming their Booking for their first Lesson with a Tutor, the Student authorises Hello Tutor to arrange further Bookings on their behalf and to take payment of its Service Fee and, as agent for the Tutor, payment of the Tutor Fee for each Lesson (which together form the total Lesson Fee), in accordance with these terms and conditions. Further Bookings arranged by Hello Tutor on behalf of a Student after the first confirmed Lesson will therefore be confirmed automatically.
4.7 When a Booking is confirmed, the Student enters into a direct contract with the Tutor for the provision of Lessons. Hello Tutor's role is limited to facilitating the match and providing the booking and payment infrastructure, and Hello Tutor accepts no liability in relation to the Tutor's delivery of those Lessons.
4.8 When a confirmed Booking exists, the Student must ensure that they have a valid debit or credit card registered on the platform with sufficient funds to cover the Booking.
4.9 Students agree not to circumvent or disintermediate, or attempt to circumvent or disintermediate, Hello Tutor in any way at the time of booking any Tutor, during any period of confirmed Bookings with any Tutor, or at any time within six months of the date of the most recent Booking with the relevant Tutor (the "Student Restriction Period"). Save where Hello Tutor has barred the relevant Student or Tutor, all Lessons within the Student Restriction Period with a Tutor matched through the platform must be booked through Hello Tutor.
4.10 Students must ensure they have provided Hello Tutor with all necessary information to allow the Lesson to take place, including any relevant learning objectives, materials, or, for in-person Lessons, the correct location details. If a Lesson is to take place at the Student's location, the Student must ensure an appropriate and safe setting for tuition is available.
4.11 Students must use their own judgement about the suitability of any Tutor detailed on the platform. Although Hello Tutor undertakes certain checks before approving a Tutor's profile, Students are responsible for verifying the credentials, qualifications, experience, and any other claims made by a Tutor with whom they confirm a Booking.
4.12 Students are responsible for checking that any Bookings arranged by Hello Tutor on their behalf are correct. Students will be notified of such Bookings by email and through the platform.
4.13 Students are responsible for ensuring they have the necessary equipment and a stable internet connection to access the Online Classroom before an Online Lesson. No refunds will be made in the event that a Student is unable to access the Online Classroom for reasons within the Student's control.
4.14 Any Student who fails, in Hello Tutor's reasonable opinion, to comply with these terms and conditions may be immediately barred from using the platform and any related services. Hello Tutor reserves the right to cancel any existing Bookings in such circumstances.
4.15 Students may cancel a Booking at any time before the scheduled start time of a Lesson, subject to the cancellation charges set out in clause 7.
4.16 Nothing in these terms and conditions affects a Student's rights under applicable UAE consumer protection legislation.
4.17 By agreeing to these terms and conditions, a Student is not obliged to book any Tutor or make any Bookings.
4.18 Subject to paying for any Bookings used, a Student may cease using the Hello Tutor service at any time.
4.19 Students agree not to independently record Lessons by any means outside of Hello Tutor's own recording system, and must not store or share any such recordings.
5. Tutor Status and Responsibilities (T)
5.1 Tutors are independent contractors and are not employees of Hello Tutor. Tutors are solely responsible for their own actions both on and off the platform.
5.2 Tutors must be at least 18 years old to register on the platform.
5.3 Tutors must be legally entitled to work and provide tutoring services in the UAE and must hold all necessary permits, visas, or authorisations required to do so on a freelance or self-employed basis.
5.4 Tutors must hold and maintain a valid work permit or freelance permit issued by the Ministry of Human Resources and Emiratisation (MOHRE), or an equivalent permit issued by the relevant free zone authority, that legally entitles them to provide tutoring or educational services in the UAE on a self-employed or freelance basis. Tutors must provide Hello Tutor with evidence of their permit status upon request. Failure to hold or maintain a valid and applicable permit will result in the immediate suspension of the Tutor's profile until this requirement is met.
5.5 If Tutors teach Students who are under 18, they must ensure that those Students are represented by a parent or legal guardian who has given their consent for the Student to receive tuition.
5.6 Tutors are responsible for ensuring that all personal information they provide on the platform, including their profile, qualifications, and personal statements, is accurate, complete, and not misleading. Tutors must update this information promptly to maintain its accuracy.
5.7 Tutors must disclose to Hello Tutor any criminal convictions or cautions they hold at the time of registration, and must disclose any convictions or cautions received at any time after registering on the platform for as long as they remain a registered Tutor.
5.8 All Tutors must have completed a valid background check dated within the last three years to be approved and to continue to be listed on the platform. Tutors must provide Hello Tutor with evidence of their background check status upon request. Failure to maintain a valid background check will result in the suspension of the Tutor's profile until this requirement is met.
5.9 Any Tutor who, in Hello Tutor's reasonable opinion, fails to comply with these terms and conditions may be immediately barred from using the platform and any related services. Hello Tutor reserves the right to cancel any existing Bookings in such circumstances.
5.10 Tutors must take all reasonable precautions to ensure they work in a safe environment and are responsible for taking out and maintaining their own insurance policies to cover the work they undertake.
5.11 Tutor Fees are set by Hello Tutor and are determined by the subject, education level, and number of Lessons included in the Student's subscription at the time of booking. Tutors must not offer their services to Students matched through Hello Tutor outside of the platform or at any rate other than that set by Hello Tutor.
5.12 Tutors agree that they will be ranked on the platform based on a combination of profile completeness, Student ratings, and number of Lessons taught. Positive Student ratings, prompt responses to messages from Hello Tutor, and a greater number of Lessons taught will contribute to a higher ranking in the platform's search results. Hello Tutor reserves the right to change the way Tutors are ranked at any time.
5.13 Tutors must respond to messages received from Hello Tutor without undue delay and cooperate promptly with Hello Tutor in connection with the arrangement of Bookings and Lessons.
5.14 All meetings with a Student matched via the Hello Tutor platform, including Lessons, trial sessions, or introductory calls, must be arranged through Hello Tutor and recorded as a Booking on the platform. Tutors agree not to solicit Students or disintermediate Hello Tutor, or attempt to do so, at the time of booking any Lesson with any Student, during any period of confirmed Bookings with any Student, or at any time within six months of the date of the most recent Booking with the relevant Student (the "Tutor Restriction Period").
5.15 Bookings will only be arranged by Hello Tutor in accordance with the confirmed requirements of the Student. If a Lesson is not delivered for a Booking that was arranged without the Student's instruction, Hello Tutor will manage the refund process on behalf of the Student and will instruct its payment provider to return any Tutor Fee received for those Bookings to the Student accordingly.
5.16 Tutors must be ready and available at the scheduled start time of a Lesson and must notify Hello Tutor immediately via the platform if a Student has not attended within 15 minutes of the scheduled start time. If a Tutor fails to do so, Hello Tutor will manage the refund process on behalf of the Student and will instruct its payment provider to return any Tutor Fee received for the relevant Booking to the Student accordingly.
5.17 Tutors must not complete, or intend to complete, coursework, essays, assignments, or any similar academic work on behalf of Students.
5.18 Tutors must ensure that all written communication in connection with Lessons takes place via the platform's messaging system. Bookings are arranged by Hello Tutor on behalf of the Student and Tutor and must not be arranged directly between Tutors and Students outside of the platform.
5.19 Tutors shall indemnify Hello Tutor for all claims and liabilities arising out of any use by the Tutor of the platform, including any costs and expenses incurred by Hello Tutor as a result.
5.20 Tutors are responsible for ensuring they have the correct equipment and a stable internet connection to access the Online Classroom before an Online Lesson. If a Tutor is unable to access the Online Classroom for reasons within their own control, Hello Tutor will manage the refund process on behalf of the Student and will instruct its payment provider to return any Tutor Fee received for the relevant Lesson to the Student accordingly.
5.21 Tutors are responsible for ensuring they are at the correct Lesson location and ready to teach at the agreed time. If a Tutor is running late, they must notify Hello Tutor immediately via the platform so that Hello Tutor can inform the Student and agree any revised start time on the Tutor's behalf. If a Tutor fails to do so, Hello Tutor will manage the refund process on behalf of the Student and will instruct its payment provider to return any Tutor Fee received for the relevant Booking to the Student accordingly.
5.22 Tutors acknowledge that all Lessons may be recorded by Hello Tutor and agree to the storage and use of such recordings for safeguarding and quality purposes.
5.23 Tutors acknowledge and agree that recordings of Lessons may be shared with Students where appropriate.
5.24 Tutors are responsible for their own tax obligations, including any income tax or business registration requirements applicable under UAE law, arising from their use of the platform.
6. Payment
6.1 The Lesson Fee payable by a Student for a Lesson will be displayed on the platform at the time of confirming a Booking. The Lesson Fee will also be communicated in Lesson reminder notifications and in payment confirmation messages following each Lesson.
6.2 The Lesson Fee is determined by the subject, education level, and number of Lessons included in the Student's subscription at the time of booking, as displayed on the platform. The Lesson Fee comprises the Tutor Fee and Hello Tutor's Service Fee. All fees are inclusive of any applicable VAT or other taxes as required by UAE law.
6.3 The Service Fee is the portion of the Lesson Fee retained by Hello Tutor in exchange for the provision of the matching, booking, and platform services described in clause 2 of these terms and conditions. The Service Fee is included within the subscription price displayed on the platform at the time of booking and is not charged separately to the Student.
6.4 The Student authorises Hello Tutor to instruct its payment provider to charge their registered debit or credit card 24 hours after the scheduled end time of each Lesson for the Lesson Fee attached to the relevant Booking.
6.5 If a Student cancels a Booking within 24 hours of a Lesson being due to commence, payment may be taken less than 24 hours after the Lesson was due to end.
6.6 If a Student makes a Complaint, charges may still be processed as usual and refunded as appropriate in accordance with these terms and conditions.
6.7 For Online Lessons, the Student will be charged the full Lesson Fee provided the Tutor attended the Online Classroom for at least 15 minutes from the Lesson's scheduled start time. No charge will be made to the Student if the Tutor does not attend for at least the first 15 minutes of the Lesson.
6.8 If a Lesson does not take place because a Student does not attend, whether in person or via the Online Classroom, the Student will be charged the full Lesson Fee.
6.9 Payment processing services on the Hello Tutor platform are provided by a third-party payment provider. By agreeing to these terms and conditions, Users agree to be bound by that provider's applicable terms, as amended from time to time. Tutors agree to provide Hello Tutor with accurate and complete information to facilitate payment processing, and authorise Hello Tutor to share such information with its payment provider as required.
6.10 Tutor Fees will ordinarily be transferred to the Tutor's nominated bank account within 14 days following a completed Lesson, provided all required identity and account verification has been completed.
6.11 Tutor earnings may be held pending completion of any verification process required by Hello Tutor or its payment provider.
7. Cancellations
7.1 A Student may cancel a Booking at any point before the scheduled start time of a Lesson, subject to the charges set out in this clause.
7.2 A Student may only cancel a Lesson by cancelling the relevant Booking through the platform. Cancellations made by any other means will not be recognised and charges may still be applied to the Student's account.
7.3 If a Student cancels a Booking more than 24 hours before a Lesson is due to commence, 50% of the Lesson Fee will be forfeited and Hello Tutor will instruct its payment provider to charge the Student accordingly.
7.4 If a Student cancels a Booking within 24 hours of a Lesson being due to commence, 100% of the Lesson Fee is payable and Hello Tutor will instruct its payment provider to charge the Student the full Lesson Fee.
7.5 If a Tutor cancels a Booking, the Student will receive a full refund of any Lesson Fee paid. Hello Tutor will manage the refund process and instruct its payment provider accordingly.
7.6 Bookings cannot be cancelled after a Lesson has started. Lessons which are not cancelled before the start time but are not attended by the Student will be charged at their full price. If there are genuine extenuating circumstances, a full refund may be considered at the sole discretion of Hello Tutor.
8. Referral Credit
8.1 Credit will be awarded to the referee once their account has been set up and verified on the platform.
8.2 Credit will be awarded to the referrer after the referee has attended their first paid Lesson.
8.3 Referrers must be existing registered Hello Tutor Users. Referees must not have previously registered with Hello Tutor.
8.4 In the event of a referee booking but not attending their first paid Lesson, credit will not be added to the referrer's account. If credit has already been awarded, it will be cancelled.
8.5 Credit will not be awarded for introductory or free sessions. Credit can only be earned in connection with a paid Lesson.
8.6 Referees and referrers are responsible for any tax implications that may arise from receiving platform credit under applicable UAE law.
8.7 Hello Tutor reserves the right to suspend referral credit entitlements where it believes referral methods are inappropriate or fraudulent.
8.8 Hello Tutor credit cannot be exchanged for cash or cash equivalents.
8.9 Any credit awarded will be valid for three months from the date of award. Credit that is unused after this period will expire.
8.10 Hello Tutor reserves the right to cancel any credit awarded in the event of suspected suspicious or fraudulent activity by either the referee or the referrer.
8.11 Hello Tutor's decision as to whether a referee or referrer is entitled to credit is final and binding.
8.12 Hello Tutor reserves the right to change the terms relating to referral credit or to suspend the referral programme at any time and for any reason.
9. Missed Lessons and Complaints
9.1 A Complaint covers any situation in which a Student seeks a refund as a result of the service provided by a Tutor, including but not limited to a Missed Lesson (where the Tutor did not attend a booked Lesson) or a quality claim (where the Student believes the service provided by the Tutor fell below the standard they reasonably expected).
9.2 A Student should inform Hello Tutor of a Complaint by chat or email within 96 hours after the scheduled finish time of the relevant Lesson.
9.3 When a Complaint has been received from a Student, Hello Tutor will contact the Tutor within 72 hours of the Complaint being received, by email and notification, to inform the Tutor that a Complaint has been raised.
9.4 Where a Student notifies Hello Tutor of a Complaint within 96 hours of the scheduled finish time of the relevant Lesson, the Tutor has 48 hours to notify Hello Tutor through the platform of their intention to dispute the Complaint. If the Tutor does not dispute the Complaint within 48 hours of being notified, Hello Tutor will instruct its payment provider to process a full refund to the Student of the Tutor Fee. Hello Tutor reserves the right, as a goodwill gesture, to also refund the Service Fee for the relevant Booking. Hello Tutor will inform the Student promptly of the outcome by email.
9.5 Where a Student notifies Hello Tutor of a Complaint more than 96 hours after the scheduled finish time of the relevant Lesson, Hello Tutor will review the Complaint and notify the Tutor of its findings. If Hello Tutor determines the Complaint is not upheld, Hello Tutor will inform the Student accordingly and no refund will be issued. If Hello Tutor determines the Complaint is upheld, it will manage the refund process and instruct its payment provider accordingly.
9.6 Where a Complaint cannot be resolved through Hello Tutor's complaints process, the Student is entitled to pursue the matter directly against the Tutor. Hello Tutor accepts no liability in relation to Complaints or the standard of services provided by a Tutor.
9.7 If Hello Tutor determines that a Missed Lesson occurred as a result of Hello Tutor's failure to meet its obligations under clause 2.2 of these terms and conditions, Hello Tutor will refund to the Student any Service Fee paid for that Lesson.
9.8 Hello Tutor reserves the right to offer any Student, as a gesture of goodwill, a payment equivalent to the full Lesson Fee. Such a payment will be made solely at Hello Tutor's discretion.
10. Failed Payments
10.1 A Failed Payment is an outstanding Lesson Fee for a Booking for which Hello Tutor's payment provider has been unable to make a successful charge against the payment details provided by the Student.
10.2 Where a Failed Payment remains outstanding 48 and 72 hours after the scheduled end of the relevant Lesson, the Student authorises Hello Tutor to automatically instruct its payment provider to retry the charge.
10.3 The Student may also give Hello Tutor consent by chat, email, or through the platform to retry payment for any outstanding Failed Payment at any time.
10.4 As the agent of the Tutor, Hello Tutor reserves the right to cancel Lessons and their associated Bookings with a Student who has an outstanding Failed Payment, in order to protect the Tutor from further loss of earnings.
10.5 Where a Failed Payment remains outstanding 96 hours after the scheduled end of the relevant Lesson, Hello Tutor will cancel all of that Student's further Bookings and inform the Tutor. Hello Tutor will not arrange any further Bookings with the Student until the Failed Payment has been settled.
10.6 As the agent of the Tutor, Hello Tutor may continue to seek payment for Failed Payments from the Student for up to ninety days following the scheduled end of the relevant Lesson, by contacting the Student by email, notification, or other means.
10.7 The Student accepts that Hello Tutor reserves the right to refer unpaid debts to a third-party debt collection service, and acknowledges that this may affect their credit record.
10.8 Hello Tutor will not be liable to the Tutor for any lost earnings resulting from a Failed Payment.
10.9 Hello Tutor reserves the right, without obligation and entirely at its own discretion, to pay the Tutor as a goodwill gesture an amount equal to the Tutor Fee for any Lesson affected by a Failed Payment.
11. Child Protection and Safeguarding
11.1 Hello Tutor is committed to providing a safe experience in which young learners can receive tuition. The safety and wellbeing of children is of paramount importance to us.
11.2 Any User who is the parent or legal guardian of a learner under the age of 18 who has a Lesson with a Tutor should not leave the child in the unsupervised sole care of that Tutor during a session.
11.3 All Tutors must comply with Hello Tutor's Safeguarding Policy, as published on the platform, and all relevant UAE legislation and guidance relating to the protection of children.
11.4 If any User has a concern regarding child protection or the safety of a learner, they must contact Hello Tutor immediately at safeguarding@hellotutor.me.
11.5 Hello Tutor has a designated Safeguarding Officer who is responsible for handling all safeguarding concerns raised through the platform.
11.6 Hello Tutor will cooperate fully with UAE law enforcement and any relevant regulatory authority in connection with any safeguarding concern or suspected criminal activity involving a User.
12. Classes: Student Responsibilities
12.1 Students must be at least 18 years old to book a group class. Learners under the age of 18 must be represented by a parent or legal guardian who provides consent for their enrolment. Hello Tutor is not responsible for any dispute between a person under 18 and their parent or guardian regarding consent.
12.2 Students may cancel enrolment in a class without charge by giving more than 72 hours notice before the first session of the class.
12.3 When a Booking for a class is confirmed, the Student enters into a direct contract with the Tutor for the provision of that class. Hello Tutor's role is limited to facilitating the match and providing the booking and payment infrastructure, and Hello Tutor accepts no liability in relation to the Tutor's delivery of class sessions.
12.4 If a Student is unable to attend one or more sessions within a class, no partial refunds will be given for sessions not attended.
12.5 Students are responsible for ensuring they have the necessary equipment and internet connection to access the Online Classroom before each class session. No refunds will be made where a Student is unable to access the Online Classroom for reasons within their own control.
12.6 Refunds for classes may be subject to Hello Tutor's discretion in accordance with applicable UAE consumer protection rights.
12.7 Students acknowledge that all class sessions may be recorded by Hello Tutor and agree to the storage and use of such recordings for safeguarding and quality purposes.
13. Classes: Tutor Responsibilities (T)
13.1 Tutors agree that Hello Tutor reserves the right to cancel a class before it commences, by giving the Tutor at least 24 hours notice wherever possible.
13.2 Tutors are responsible for ensuring they have the correct equipment and internet connection to access the Online Classroom before each class session.
13.3 If a Tutor is unable to attend one or more scheduled sessions within a class, they must give Hello Tutor at least 24 hours notice ahead of the affected session wherever possible.
13.4 Tutors agree that Hello Tutor reserves the right to withhold payment for any class sessions that are not delivered as scheduled.
13.5 Tutors agree to deliver class sessions in accordance with the schedule and learning plan submitted to and approved by Hello Tutor.
13.6 Tutors agree to use only the Online Classroom provided by Hello Tutor for the delivery of class sessions. In the event of any technical issue with the classroom, Tutors must contact Hello Tutor immediately to arrange an alternative solution.
13.7 Tutors acknowledge that all class sessions may be recorded by Hello Tutor and agree to the storage and use of such recordings for safeguarding and quality purposes.
14. Intellectual Property
14.1 When submitting material to Hello Tutor, Students and Tutors grant to Hello Tutor a non-exclusive, royalty-free, perpetual licence to copy, modify, distribute, display publicly, and create derivative works from that material for the purposes of operating and promoting the platform.
14.2 Users are responsible for all content they upload, post, publish, or share on the platform, including but not limited to code, video, images, data, text, software, photographs, graphics, and messages.
14.3 Users agree not to upload or share any content that:
- infringes any copyright, intellectual property right, or other proprietary right of any person or entity
- the User does not have the right to share under any applicable law or contractual obligation
- contains software viruses, malware, or any code designed to disrupt, damage, or limit the functionality of any computer system or network
- creates a privacy or security risk to any person
- constitutes unsolicited advertising, spam, chain letters, or any other form of unauthorised solicitation
- is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, pornographic, or otherwise objectionable
- in Hello Tutor's sole judgement, restricts or inhibits any other person from using or enjoying the platform, or exposes Hello Tutor or its Users to any form of harm or liability
14.4 Hello Tutor reserves the right to investigate and take appropriate action against anyone who violates this clause, including removing offending content, suspending or terminating accounts, and reporting Users to the relevant UAE authorities.
14.5 Users grant Hello Tutor permission to use any images they have independently created and uploaded to the platform for any purpose, including marketing and promotional use, without restriction, prior notice, or compensation.
14.6 The Hello Tutor name, logo, platform design, and all related branding are the intellectual property of Hello Tutor LLC. Users must not use, reproduce, or imitate any Hello Tutor branding without prior written consent.
15. Disclaimers and Limitation of Liability
15.1 Nothing in these terms and conditions limits or excludes Hello Tutor's liability for death or personal injury caused by its negligence, or for any other liability that cannot lawfully be excluded or limited under UAE law.
15.2 All Users must give Hello Tutor a reasonable opportunity to remedy any matter for which Hello Tutor may be liable before incurring any costs to remedy the matter themselves.
15.3 Hello Tutor shall not be liable for any loss or damage caused by it or its employees or agents in circumstances where there is no breach of a legal duty of care owed by Hello Tutor; where such loss or damage was not reasonably foreseeable by both parties; or where such loss or damage is caused by the User's own failure to comply with these terms and conditions.
15.4 To the extent permitted by UAE law, the User will be liable for any reasonably foreseeable loss or damage Hello Tutor suffers as a result of the User's breach of these terms and conditions or misuse of the platform.
15.5 To the extent permitted by UAE law, Hello Tutor's total liability to a User in respect of any one event or series of related events is limited to the total Service Fees paid by that User in the 12 months before the event giving rise to the claim, or AED 500, whichever is higher.
15.6 To the extent permitted by UAE law, Hello Tutor will not be liable for any economic losses (including loss of revenue, profits, or anticipated savings), loss of goodwill or reputation, or any special, indirect, or consequential losses, even where Hello Tutor has been advised of the possibility of such losses.
15.7 These terms and conditions constitute the entire agreement between the parties in respect of their subject matter and supersede all prior communications, representations, and agreements.
16. Changes to These Terms and Conditions
16.1 Hello Tutor may change these terms and conditions by posting the revised version on the platform at least 14 days before the changes take effect. Users are encouraged to check the platform from time to time for updates.
16.2 Users will be bound by the revised terms and conditions if they continue to use the platform or its services following the effective date of the changes.
16.3 Where changes are material, Hello Tutor will notify Users by email or via a notice on the platform before they take effect.
17. Governing Law and Jurisdiction
17.1 These terms and conditions, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the United Arab Emirates.
17.2 Any dispute arising under or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, unless otherwise required by applicable law.
17.3 If any clause or part of these terms and conditions is found to be unenforceable under UAE law, the remaining terms and conditions will continue in full force and effect.

18.2 For privacy-related enquiries or data rights requests, Users should contact privacy@hellotutor.me.
18.3 For safeguarding concerns, Users should contact safeguarding@hellotutor.me.
18.4 Hello Tutor will endeavour to acknowledge all enquiries within 5 working days and to respond in full within a reasonable time frame.
19. Definitions
19.1 "Booking" means the booking attached to an individual Lesson or class session on the platform, arranged by Hello Tutor on behalf of the Student and Tutor.
19.2 "Complaint" means a claim by a Student that either the service provided by a Tutor fell below the standard the Student reasonably expected, or that there was a Missed Lesson.
19.3 "Content" means all information of whatever kind, including profiles, messages, reviews, and other material published, stored, or sent on or in connection with the platform.
19.4 "Failed Payment" means an outstanding Lesson Fee for a Booking for which Hello Tutor's payment provider has been unable to make a successful charge against the payment details provided by the Student.
19.5 "Hello Tutor" means Hello Tutor LLC, a company registered and operating in Dubai, United Arab Emirates, and the operator of the Hello Tutor platform at app.hellotutor.me.
19.6 "Lesson" means, unless otherwise specified, a one-to-one tuition session between a Student and a Tutor, including both in-person and online sessions.
19.7 "Lesson Fee" means the total fee payable by the Student for a Lesson, comprising the Tutor Fee and the Service Fee, as determined by the Student's subscription.
19.8 "Missed Lesson" means a claim by a Student that they did not receive a Lesson for which there was a Booking on the platform.
19.9 "Online Classroom" means Hello Tutor's own online lesson space made available to Users at the time of booked Online Lessons.
19.10 "Online Lesson" means a one-to-one tuition session between a Student and a Tutor delivered through the Online Classroom.
19.11 "Platform" means the Hello Tutor website, mobile applications, and all related services available at app.hellotutor.me.
19.12 "Review" means any review, comment, or rating submitted by a User in respect of a Tutor or Lesson.
19.13 "Service Fee" means the portion of the Lesson Fee retained by Hello Tutor for the provision of its matching, booking, and platform services, as described in clause 6. The Service Fee is included within the Lesson Fee and is not charged separately.
19.14 "Subscription" means a subscription package purchased by a Student or Parent on the platform, which determines the subject, education level, and number of Lessons available to the Student at the applicable Lesson Fee.
19.15 "Student" means a User who has registered a student account on the platform. The Student must be at least 18 years old. Where the learner is under 18, the Student will be their parent or legal guardian.
19.16 "Student Restriction Period" means the period defined in clause 4.9, being at the time of booking any Tutor, during any period of confirmed Bookings with any Tutor, or at any time within six months of the date of the most recent Booking with the relevant Tutor matched through the platform.
19.17 "Tutor" means a User who has registered a tutor account on the platform.
19.18 "Tutor Fee" means that part of the Lesson Fee that is collected by Hello Tutor as agent for the Tutor, as described in clause 6. The Tutor Fee is set by Hello Tutor and is determined by the subject, education level, and number of Lessons included in the Student's subscription.
19.19 "Tutor Restriction Period" means the period defined in clause 5.14, being at the time of any meeting with any Student, during any period of confirmed Bookings with any Student, or at any time within six months of the date of the most recent Booking with the relevant Student.
19.20 "User" means any person who accesses or uses the Hello Tutor platform, whether or not they have registered an account.

Terms and Conditions
These terms and conditions apply to all Users of the Hello Tutor platform, including Students, parents, legal guardians, and Tutors, unless otherwise stated. Certain clauses marked with a "(T)" apply to Tutors only. Clause 5 applies to Tutors only. These terms and conditions replace any previous versions.
1. Introduction
1.1 Hello Tutor operates a platform that matches Students with Tutors based on their learning needs, subject requirements, and availability, and enables Students to book and pay for Lessons with the Tutors they are matched with. Hello Tutor is a matching service and is not a marketplace or reseller of tuition services. All of these terms and conditions apply to Students and Tutors unless they specifically state otherwise, or are marked with a "(T)", in which case they apply to Tutors only.
1.2 The Hello Tutor platform is owned and operated by Hello Tutor LLC, a company registered and operating in Dubai, United Arab Emirates. Hello Tutor's website is at hellotutor.me and the platform is accessible at app.hellotutor.me.
1.3 A User may register on the platform as a Student, a Parent, or a Tutor. A User may browse the platform without registering, but if a User does register, certain information will be stored to make future visits easier.
1.4 By registering on or using our platform, the User agrees to be bound by these terms and conditions. These terms and conditions are legally binding and every User should read them fully before agreeing to them. Please save or print these terms for future reference as Hello Tutor cannot guarantee they will remain accessible on the platform in their current form at all times. If a User does not wish to be bound by these terms, they should not use the platform.
1.5 (T) Where the person who agrees to these terms and conditions does so on behalf of a company or organisation, they confirm that they have the authority to act on behalf of that entity.
1.6 Certain words are defined in clause 19 (Definitions) of these terms and conditions and are capitalised throughout this document.
1.7 These terms and conditions are governed by the laws of the United Arab Emirates, including the UAE Federal Law No. 1 of 2006 on Electronic Commerce and Transactions, UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data, and all other applicable UAE federal and emirate-level legislation.
2. Hello Tutor Rights and Responsibilities
This clause sets out what Hello Tutor commits to do.
2.1 To match Students with suitable Tutors based on their learning needs, subject requirements, and availability, and to enable Students to book and pay for Lessons with matched Tutors through the platform.
2.2 To maintain a functioning platform, including communication systems, a booking system, and an Online Classroom, wherever possible. Hello Tutor cannot guarantee that the platform will always be available or that it will always work without interruption, but it will use reasonable endeavours to keep it operational at all times. Scheduled maintenance may occasionally require the platform to be taken offline temporarily.
2.3 To communicate any planned maintenance or downtime to Users in advance wherever possible.
2.4 To use reasonable endeavours to keep the platform free from viruses, malware, and other harmful code.
2.5 To use reasonable endeavours to verify the identity of all Tutors and to check that background verification requirements have been met. Students who have concerns about a Tutor should contact Hello Tutor before proceeding with a Lesson.
2.6 To decide when a Tutor's profile is sufficiently complete and verified to be made live on the platform and accessible by other Users.
2.7 To communicate new Bookings, confirmations of Bookings, and cancellations to both Students and Tutors via the platform and by email, except where a User has changed their notification settings to exclude email communications.
2.8 To endeavour to ensure that each Student's payment of Lesson Fees and each Tutor's payment of Tutor Fees are processed promptly and ordinarily within 14 days of a Lesson being completed, where there is no Complaint or Failed Payment.
2.9 To endeavour to ensure that Complaints are considered promptly and in accordance with these terms and conditions.
2.10 To endeavour to ensure that refunds to Students are made promptly in accordance with these terms and conditions.
2.11 To endeavour to ensure that Failed Payments are followed up promptly and in accordance with these terms and conditions.
2.12 To take precautions that Hello Tutor considers appropriate to protect Students' and Tutors' personal information, in accordance with our Privacy Policy.
2.13 To monitor activity posted on the platform and messages sent on the platform in order to facilitate matches, prevent misuse of the platform, and safeguard all Users, as set out in these terms and conditions.
2.14 To record all Online Lessons (except where an unforeseen technical malfunction occurs) and to store those recordings for a minimum of 28 days and a maximum of one year for safeguarding and quality purposes. These recordings remain the property of Hello Tutor.
2.15 To regularly review these terms and conditions and our Safeguarding and Privacy Policies to ensure they remain adequate and up to date.
3. User Responsibilities
This clause applies to all Users, including Students, parents, legal guardians, and Tutors.
3.1 Users are responsible for their own security in connection with their use of the platform, both online and offline.
3.2 Users are solely responsible for all material they post on the platform, including messages sent, and must not post defamatory, offensive, misleading, or illegal material.
3.3 Users must immediately report to Hello Tutor any defamatory, offensive, or illegal material they encounter on the platform.
3.4 Users must exercise their own judgement regarding the accuracy of information provided on the platform. Hello Tutor cannot and does not guarantee that all content on the platform is complete, accurate, or up to date.
3.5 Users must contact Hello Tutor immediately if they believe their account password or login credentials have been compromised. Users will remain responsible for any activity conducted on their account until Hello Tutor has been notified of the compromise.
3.6 Users must not use the platform with the intention of engaging directly with other Users outside of the Hello Tutor environment so as to circumvent Hello Tutor's services. Users must not promote opportunities or services of any company other than Hello Tutor on the platform.
3.7 Users agree to abide by the Privacy Policy and Safeguarding Policy as published on the platform.
3.8 Any User who fails, in Hello Tutor's reasonable opinion, to comply with these terms and conditions may be immediately suspended from using the platform and any related services. Hello Tutor reserves the right to cancel any existing Bookings in such circumstances.
3.9 Users must not use the platform to send unsolicited commercial communications, spam, or promotional material to other Users.
3.10 Users must not attempt to gain unauthorised access to any part of the platform, its systems, or the accounts of other Users.
4. Student Responsibilities
4.1 Hello Tutor is not responsible for the acts or omissions of Students or Tutors and is solely responsible for its own acts or omissions.
4.2 Students must be at least 18 years old to register for an account and book a Tutor for themselves or another learner. Learners under the age of 18 must be represented by a parent or legal guardian who provides their consent for the learner to receive tuition. Hello Tutor is not responsible for any dispute between a person under the age of 18 and a parent or guardian regarding consent.
4.3 Students must ensure that all of their personal details and contact information on the platform are accurate and kept up to date. Hello Tutor will contact Students by email and through the platform.
4.4 When a Booking is made more than 24 hours in advance of the start time of the first Lesson, Students have up to 12 hours before their first Lesson with a new Tutor is due to commence to confirm the Booking. When a Booking is made within 24 hours of the start time, Students have up to 2 hours before their first Lesson with a new Tutor is due to commence to confirm the Booking.
4.5 To confirm a Booking for their first Lesson with a Tutor, the Student must have valid payment details entered and saved on the platform.
4.6 By confirming their Booking for their first Lesson with a Tutor, the Student authorises Hello Tutor to arrange further Bookings on their behalf and to take payment of its Service Fee and, as agent for the Tutor, payment of the Tutor Fee for each Lesson (which together form the total Lesson Fee), in accordance with these terms and conditions. Further Bookings arranged by Hello Tutor on behalf of a Student after the first confirmed Lesson will therefore be confirmed automatically.
4.7 When a Booking is confirmed, the Student enters into a direct contract with the Tutor for the provision of Lessons. Hello Tutor's role is limited to facilitating the match and providing the booking and payment infrastructure, and Hello Tutor accepts no liability in relation to the Tutor's delivery of those Lessons.
4.8 When a confirmed Booking exists, the Student must ensure that they have a valid debit or credit card registered on the platform with sufficient funds to cover the Booking.
4.9 Students agree not to circumvent or disintermediate, or attempt to circumvent or disintermediate, Hello Tutor in any way at the time of booking any Tutor, during any period of confirmed Bookings with any Tutor, or at any time within six months of the date of the most recent Booking with the relevant Tutor (the "Student Restriction Period"). Save where Hello Tutor has barred the relevant Student or Tutor, all Lessons within the Student Restriction Period with a Tutor matched through the platform must be booked through Hello Tutor.
4.10 Students must ensure they have provided Hello Tutor with all necessary information to allow the Lesson to take place, including any relevant learning objectives, materials, or, for in-person Lessons, the correct location details. If a Lesson is to take place at the Student's location, the Student must ensure an appropriate and safe setting for tuition is available.
4.11 Students must use their own judgement about the suitability of any Tutor detailed on the platform. Although Hello Tutor undertakes certain checks before approving a Tutor's profile, Students are responsible for verifying the credentials, qualifications, experience, and any other claims made by a Tutor with whom they confirm a Booking.
4.12 Students are responsible for checking that any Bookings arranged by Hello Tutor on their behalf are correct. Students will be notified of such Bookings by email and through the platform.
4.13 Students are responsible for ensuring they have the necessary equipment and a stable internet connection to access the Online Classroom before an Online Lesson. No refunds will be made in the event that a Student is unable to access the Online Classroom for reasons within the Student's control.
4.14 Any Student who fails, in Hello Tutor's reasonable opinion, to comply with these terms and conditions may be immediately barred from using the platform and any related services. Hello Tutor reserves the right to cancel any existing Bookings in such circumstances.
4.15 Students may cancel a Booking at any time before the scheduled start time of a Lesson, subject to the cancellation charges set out in clause 7.
4.16 Nothing in these terms and conditions affects a Student's rights under applicable UAE consumer protection legislation.
4.17 By agreeing to these terms and conditions, a Student is not obliged to book any Tutor or make any Bookings.
4.18 Subject to paying for any Bookings used, a Student may cease using the Hello Tutor service at any time.
4.19 Students agree not to independently record Lessons by any means outside of Hello Tutor's own recording system, and must not store or share any such recordings.
5. Tutor Status and Responsibilities (T)
5.1 Tutors are independent contractors and are not employees of Hello Tutor. Tutors are solely responsible for their own actions both on and off the platform.
5.2 Tutors must be at least 18 years old to register on the platform.
5.3 Tutors must be legally entitled to work and provide tutoring services in the UAE and must hold all necessary permits, visas, or authorisations required to do so on a freelance or self-employed basis.
5.4 Tutors must hold and maintain a valid work permit or freelance permit issued by the Ministry of Human Resources and Emiratisation (MOHRE), or an equivalent permit issued by the relevant free zone authority, that legally entitles them to provide tutoring or educational services in the UAE on a self-employed or freelance basis. Tutors must provide Hello Tutor with evidence of their permit status upon request. Failure to hold or maintain a valid and applicable permit will result in the immediate suspension of the Tutor's profile until this requirement is met.
5.5 If Tutors teach Students who are under 18, they must ensure that those Students are represented by a parent or legal guardian who has given their consent for the Student to receive tuition.
5.6 Tutors are responsible for ensuring that all personal information they provide on the platform, including their profile, qualifications, and personal statements, is accurate, complete, and not misleading. Tutors must update this information promptly to maintain its accuracy.
5.7 Tutors must disclose to Hello Tutor any criminal convictions or cautions they hold at the time of registration, and must disclose any convictions or cautions received at any time after registering on the platform for as long as they remain a registered Tutor.
5.8 All Tutors must have completed a valid background check dated within the last three years to be approved and to continue to be listed on the platform. Tutors must provide Hello Tutor with evidence of their background check status upon request. Failure to maintain a valid background check will result in the suspension of the Tutor's profile until this requirement is met.
5.9 Any Tutor who, in Hello Tutor's reasonable opinion, fails to comply with these terms and conditions may be immediately barred from using the platform and any related services. Hello Tutor reserves the right to cancel any existing Bookings in such circumstances.
5.10 Tutors must take all reasonable precautions to ensure they work in a safe environment and are responsible for taking out and maintaining their own insurance policies to cover the work they undertake.
5.11 Tutor Fees are set by Hello Tutor and are determined by the subject, education level, and number of Lessons included in the Student's subscription at the time of booking. Tutors must not offer their services to Students matched through Hello Tutor outside of the platform or at any rate other than that set by Hello Tutor.
5.12 Tutors agree that they will be ranked on the platform based on a combination of profile completeness, Student ratings, and number of Lessons taught. Positive Student ratings, prompt responses to messages from Hello Tutor, and a greater number of Lessons taught will contribute to a higher ranking in the platform's search results. Hello Tutor reserves the right to change the way Tutors are ranked at any time.
5.13 Tutors must respond to messages received from Hello Tutor without undue delay and cooperate promptly with Hello Tutor in connection with the arrangement of Bookings and Lessons.
5.14 All meetings with a Student matched via the Hello Tutor platform, including Lessons, trial sessions, or introductory calls, must be arranged through Hello Tutor and recorded as a Booking on the platform. Tutors agree not to solicit Students or disintermediate Hello Tutor, or attempt to do so, at the time of booking any Lesson with any Student, during any period of confirmed Bookings with any Student, or at any time within six months of the date of the most recent Booking with the relevant Student (the "Tutor Restriction Period").
5.15 Bookings will only be arranged by Hello Tutor in accordance with the confirmed requirements of the Student. If a Lesson is not delivered for a Booking that was arranged without the Student's instruction, Hello Tutor will manage the refund process on behalf of the Student and will instruct its payment provider to return any Tutor Fee received for those Bookings to the Student accordingly.
5.16 Tutors must be ready and available at the scheduled start time of a Lesson and must notify Hello Tutor immediately via the platform if a Student has not attended within 15 minutes of the scheduled start time. If a Tutor fails to do so, Hello Tutor will manage the refund process on behalf of the Student and will instruct its payment provider to return any Tutor Fee received for the relevant Booking to the Student accordingly.
5.17 Tutors must not complete, or intend to complete, coursework, essays, assignments, or any similar academic work on behalf of Students.
5.18 Tutors must ensure that all written communication in connection with Lessons takes place via the platform's messaging system. Bookings are arranged by Hello Tutor on behalf of the Student and Tutor and must not be arranged directly between Tutors and Students outside of the platform.
5.19 Tutors shall indemnify Hello Tutor for all claims and liabilities arising out of any use by the Tutor of the platform, including any costs and expenses incurred by Hello Tutor as a result.
5.20 Tutors are responsible for ensuring they have the correct equipment and a stable internet connection to access the Online Classroom before an Online Lesson. If a Tutor is unable to access the Online Classroom for reasons within their own control, Hello Tutor will manage the refund process on behalf of the Student and will instruct its payment provider to return any Tutor Fee received for the relevant Lesson to the Student accordingly.
5.21 Tutors are responsible for ensuring they are at the correct Lesson location and ready to teach at the agreed time. If a Tutor is running late, they must notify Hello Tutor immediately via the platform so that Hello Tutor can inform the Student and agree any revised start time on the Tutor's behalf. If a Tutor fails to do so, Hello Tutor will manage the refund process on behalf of the Student and will instruct its payment provider to return any Tutor Fee received for the relevant Booking to the Student accordingly.
5.22 Tutors acknowledge that all Lessons may be recorded by Hello Tutor and agree to the storage and use of such recordings for safeguarding and quality purposes.
5.23 Tutors acknowledge and agree that recordings of Lessons may be shared with Students where appropriate.
5.24 Tutors are responsible for their own tax obligations, including any income tax or business registration requirements applicable under UAE law, arising from their use of the platform.
6. Payment
6.1 The Lesson Fee payable by a Student for a Lesson will be displayed on the platform at the time of confirming a Booking. The Lesson Fee will also be communicated in Lesson reminder notifications and in payment confirmation messages following each Lesson.
6.2 The Lesson Fee is determined by the subject, education level, and number of Lessons included in the Student's subscription at the time of booking, as displayed on the platform. The Lesson Fee comprises the Tutor Fee and Hello Tutor's Service Fee. All fees are inclusive of any applicable VAT or other taxes as required by UAE law.
6.3 The Service Fee is the portion of the Lesson Fee retained by Hello Tutor in exchange for the provision of the matching, booking, and platform services described in clause 2 of these terms and conditions. The Service Fee is included within the subscription price displayed on the platform at the time of booking and is not charged separately to the Student.
6.4 The Student authorises Hello Tutor to instruct its payment provider to charge their registered debit or credit card 24 hours after the scheduled end time of each Lesson for the Lesson Fee attached to the relevant Booking.
6.5 If a Student cancels a Booking within 24 hours of a Lesson being due to commence, payment may be taken less than 24 hours after the Lesson was due to end.
6.6 If a Student makes a Complaint, charges may still be processed as usual and refunded as appropriate in accordance with these terms and conditions.
6.7 For Online Lessons, the Student will be charged the full Lesson Fee provided the Tutor attended the Online Classroom for at least 15 minutes from the Lesson's scheduled start time. No charge will be made to the Student if the Tutor does not attend for at least the first 15 minutes of the Lesson.
6.8 If a Lesson does not take place because a Student does not attend, whether in person or via the Online Classroom, the Student will be charged the full Lesson Fee.
6.9 Payment processing services on the Hello Tutor platform are provided by a third-party payment provider. By agreeing to these terms and conditions, Users agree to be bound by that provider's applicable terms, as amended from time to time. Tutors agree to provide Hello Tutor with accurate and complete information to facilitate payment processing, and authorise Hello Tutor to share such information with its payment provider as required.
6.10 Tutor Fees will ordinarily be transferred to the Tutor's nominated bank account within 14 days following a completed Lesson, provided all required identity and account verification has been completed.
6.11 Tutor earnings may be held pending completion of any verification process required by Hello Tutor or its payment provider.
7. Cancellations
7.1 A Student may cancel a Booking at any point before the scheduled start time of a Lesson, subject to the charges set out in this clause.
7.2 A Student may only cancel a Lesson by cancelling the relevant Booking through the platform. Cancellations made by any other means will not be recognised and charges may still be applied to the Student's account.
7.3 If a Student cancels a Booking more than 24 hours before a Lesson is due to commence, 50% of the Lesson Fee will be forfeited and Hello Tutor will instruct its payment provider to charge the Student accordingly.
7.4 If a Student cancels a Booking within 24 hours of a Lesson being due to commence, 100% of the Lesson Fee is payable and Hello Tutor will instruct its payment provider to charge the Student the full Lesson Fee.
7.5 If a Tutor cancels a Booking, the Student will receive a full refund of any Lesson Fee paid. Hello Tutor will manage the refund process and instruct its payment provider accordingly.
7.6 Bookings cannot be cancelled after a Lesson has started. Lessons which are not cancelled before the start time but are not attended by the Student will be charged at their full price. If there are genuine extenuating circumstances, a full refund may be considered at the sole discretion of Hello Tutor.
8. Referral Credit
8.1 Credit will be awarded to the referee once their account has been set up and verified on the platform.
8.2 Credit will be awarded to the referrer after the referee has attended their first paid Lesson.
8.3 Referrers must be existing registered Hello Tutor Users. Referees must not have previously registered with Hello Tutor.
8.4 In the event of a referee booking but not attending their first paid Lesson, credit will not be added to the referrer's account. If credit has already been awarded, it will be cancelled.
8.5 Credit will not be awarded for introductory or free sessions. Credit can only be earned in connection with a paid Lesson.
8.6 Referees and referrers are responsible for any tax implications that may arise from receiving platform credit under applicable UAE law.
8.7 Hello Tutor reserves the right to suspend referral credit entitlements where it believes referral methods are inappropriate or fraudulent.
8.8 Hello Tutor credit cannot be exchanged for cash or cash equivalents.
8.9 Any credit awarded will be valid for three months from the date of award. Credit that is unused after this period will expire.
8.10 Hello Tutor reserves the right to cancel any credit awarded in the event of suspected suspicious or fraudulent activity by either the referee or the referrer.
8.11 Hello Tutor's decision as to whether a referee or referrer is entitled to credit is final and binding.
8.12 Hello Tutor reserves the right to change the terms relating to referral credit or to suspend the referral programme at any time and for any reason.
9. Missed Lessons and Complaints
9.1 A Complaint covers any situation in which a Student seeks a refund as a result of the service provided by a Tutor, including but not limited to a Missed Lesson (where the Tutor did not attend a booked Lesson) or a quality claim (where the Student believes the service provided by the Tutor fell below the standard they reasonably expected).
9.2 A Student should inform Hello Tutor of a Complaint by chat or email within 96 hours after the scheduled finish time of the relevant Lesson.
9.3 When a Complaint has been received from a Student, Hello Tutor will contact the Tutor within 72 hours of the Complaint being received, by email and notification, to inform the Tutor that a Complaint has been raised.
9.4 Where a Student notifies Hello Tutor of a Complaint within 96 hours of the scheduled finish time of the relevant Lesson, the Tutor has 48 hours to notify Hello Tutor through the platform of their intention to dispute the Complaint. If the Tutor does not dispute the Complaint within 48 hours of being notified, Hello Tutor will instruct its payment provider to process a full refund to the Student of the Tutor Fee. Hello Tutor reserves the right, as a goodwill gesture, to also refund the Service Fee for the relevant Booking. Hello Tutor will inform the Student promptly of the outcome by email.
9.5 Where a Student notifies Hello Tutor of a Complaint more than 96 hours after the scheduled finish time of the relevant Lesson, Hello Tutor will review the Complaint and notify the Tutor of its findings. If Hello Tutor determines the Complaint is not upheld, Hello Tutor will inform the Student accordingly and no refund will be issued. If Hello Tutor determines the Complaint is upheld, it will manage the refund process and instruct its payment provider accordingly.
9.6 Where a Complaint cannot be resolved through Hello Tutor's complaints process, the Student is entitled to pursue the matter directly against the Tutor. Hello Tutor accepts no liability in relation to Complaints or the standard of services provided by a Tutor.
9.7 If Hello Tutor determines that a Missed Lesson occurred as a result of Hello Tutor's failure to meet its obligations under clause 2.2 of these terms and conditions, Hello Tutor will refund to the Student any Service Fee paid for that Lesson.
9.8 Hello Tutor reserves the right to offer any Student, as a gesture of goodwill, a payment equivalent to the full Lesson Fee. Such a payment will be made solely at Hello Tutor's discretion.
10. Failed Payments
10.1 A Failed Payment is an outstanding Lesson Fee for a Booking for which Hello Tutor's payment provider has been unable to make a successful charge against the payment details provided by the Student.
10.2 Where a Failed Payment remains outstanding 48 and 72 hours after the scheduled end of the relevant Lesson, the Student authorises Hello Tutor to automatically instruct its payment provider to retry the charge.
10.3 The Student may also give Hello Tutor consent by chat, email, or through the platform to retry payment for any outstanding Failed Payment at any time.
10.4 As the agent of the Tutor, Hello Tutor reserves the right to cancel Lessons and their associated Bookings with a Student who has an outstanding Failed Payment, in order to protect the Tutor from further loss of earnings.
10.5 Where a Failed Payment remains outstanding 96 hours after the scheduled end of the relevant Lesson, Hello Tutor will cancel all of that Student's further Bookings and inform the Tutor. Hello Tutor will not arrange any further Bookings with the Student until the Failed Payment has been settled.
10.6 As the agent of the Tutor, Hello Tutor may continue to seek payment for Failed Payments from the Student for up to ninety days following the scheduled end of the relevant Lesson, by contacting the Student by email, notification, or other means.
10.7 The Student accepts that Hello Tutor reserves the right to refer unpaid debts to a third-party debt collection service, and acknowledges that this may affect their credit record.
10.8 Hello Tutor will not be liable to the Tutor for any lost earnings resulting from a Failed Payment.
10.9 Hello Tutor reserves the right, without obligation and entirely at its own discretion, to pay the Tutor as a goodwill gesture an amount equal to the Tutor Fee for any Lesson affected by a Failed Payment.
11. Child Protection and Safeguarding
11.1 Hello Tutor is committed to providing a safe experience in which young learners can receive tuition. The safety and wellbeing of children is of paramount importance to us.
11.2 Any User who is the parent or legal guardian of a learner under the age of 18 who has a Lesson with a Tutor should not leave the child in the unsupervised sole care of that Tutor during a session.
11.3 All Tutors must comply with Hello Tutor's Safeguarding Policy, as published on the platform, and all relevant UAE legislation and guidance relating to the protection of children.
11.4 If any User has a concern regarding child protection or the safety of a learner, they must contact Hello Tutor immediately at safeguarding@hellotutor.me.
11.5 Hello Tutor has a designated Safeguarding Officer who is responsible for handling all safeguarding concerns raised through the platform.
11.6 Hello Tutor will cooperate fully with UAE law enforcement and any relevant regulatory authority in connection with any safeguarding concern or suspected criminal activity involving a User.
12. Classes: Student Responsibilities
12.1 Students must be at least 18 years old to book a group class. Learners under the age of 18 must be represented by a parent or legal guardian who provides consent for their enrolment. Hello Tutor is not responsible for any dispute between a person under 18 and their parent or guardian regarding consent.
12.2 Students may cancel enrolment in a class without charge by giving more than 72 hours notice before the first session of the class.
12.3 When a Booking for a class is confirmed, the Student enters into a direct contract with the Tutor for the provision of that class. Hello Tutor's role is limited to facilitating the match and providing the booking and payment infrastructure, and Hello Tutor accepts no liability in relation to the Tutor's delivery of class sessions.
12.4 If a Student is unable to attend one or more sessions within a class, no partial refunds will be given for sessions not attended.
12.5 Students are responsible for ensuring they have the necessary equipment and internet connection to access the Online Classroom before each class session. No refunds will be made where a Student is unable to access the Online Classroom for reasons within their own control.
12.6 Refunds for classes may be subject to Hello Tutor's discretion in accordance with applicable UAE consumer protection rights.
12.7 Students acknowledge that all class sessions may be recorded by Hello Tutor and agree to the storage and use of such recordings for safeguarding and quality purposes.
13. Classes: Tutor Responsibilities (T)
13.1 Tutors agree that Hello Tutor reserves the right to cancel a class before it commences, by giving the Tutor at least 24 hours notice wherever possible.
13.2 Tutors are responsible for ensuring they have the correct equipment and internet connection to access the Online Classroom before each class session.
13.3 If a Tutor is unable to attend one or more scheduled sessions within a class, they must give Hello Tutor at least 24 hours notice ahead of the affected session wherever possible.
13.4 Tutors agree that Hello Tutor reserves the right to withhold payment for any class sessions that are not delivered as scheduled.
13.5 Tutors agree to deliver class sessions in accordance with the schedule and learning plan submitted to and approved by Hello Tutor.
13.6 Tutors agree to use only the Online Classroom provided by Hello Tutor for the delivery of class sessions. In the event of any technical issue with the classroom, Tutors must contact Hello Tutor immediately to arrange an alternative solution.
13.7 Tutors acknowledge that all class sessions may be recorded by Hello Tutor and agree to the storage and use of such recordings for safeguarding and quality purposes.
14. Intellectual Property
14.1 When submitting material to Hello Tutor, Students and Tutors grant to Hello Tutor a non-exclusive, royalty-free, perpetual licence to copy, modify, distribute, display publicly, and create derivative works from that material for the purposes of operating and promoting the platform.
14.2 Users are responsible for all content they upload, post, publish, or share on the platform, including but not limited to code, video, images, data, text, software, photographs, graphics, and messages.
14.3 Users agree not to upload or share any content that:
- infringes any copyright, intellectual property right, or other proprietary right of any person or entity
- the User does not have the right to share under any applicable law or contractual obligation
- contains software viruses, malware, or any code designed to disrupt, damage, or limit the functionality of any computer system or network
- creates a privacy or security risk to any person
- constitutes unsolicited advertising, spam, chain letters, or any other form of unauthorised solicitation
- is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, pornographic, or otherwise objectionable
- in Hello Tutor's sole judgement, restricts or inhibits any other person from using or enjoying the platform, or exposes Hello Tutor or its Users to any form of harm or liability
14.4 Hello Tutor reserves the right to investigate and take appropriate action against anyone who violates this clause, including removing offending content, suspending or terminating accounts, and reporting Users to the relevant UAE authorities.
14.5 Users grant Hello Tutor permission to use any images they have independently created and uploaded to the platform for any purpose, including marketing and promotional use, without restriction, prior notice, or compensation.
14.6 The Hello Tutor name, logo, platform design, and all related branding are the intellectual property of Hello Tutor LLC. Users must not use, reproduce, or imitate any Hello Tutor branding without prior written consent.
15. Disclaimers and Limitation of Liability
15.1 Nothing in these terms and conditions limits or excludes Hello Tutor's liability for death or personal injury caused by its negligence, or for any other liability that cannot lawfully be excluded or limited under UAE law.
15.2 All Users must give Hello Tutor a reasonable opportunity to remedy any matter for which Hello Tutor may be liable before incurring any costs to remedy the matter themselves.
15.3 Hello Tutor shall not be liable for any loss or damage caused by it or its employees or agents in circumstances where there is no breach of a legal duty of care owed by Hello Tutor; where such loss or damage was not reasonably foreseeable by both parties; or where such loss or damage is caused by the User's own failure to comply with these terms and conditions.
15.4 To the extent permitted by UAE law, the User will be liable for any reasonably foreseeable loss or damage Hello Tutor suffers as a result of the User's breach of these terms and conditions or misuse of the platform.
15.5 To the extent permitted by UAE law, Hello Tutor's total liability to a User in respect of any one event or series of related events is limited to the total Service Fees paid by that User in the 12 months before the event giving rise to the claim, or AED 500, whichever is higher.
15.6 To the extent permitted by UAE law, Hello Tutor will not be liable for any economic losses (including loss of revenue, profits, or anticipated savings), loss of goodwill or reputation, or any special, indirect, or consequential losses, even where Hello Tutor has been advised of the possibility of such losses.
15.7 These terms and conditions constitute the entire agreement between the parties in respect of their subject matter and supersede all prior communications, representations, and agreements.
16. Changes to These Terms and Conditions
16.1 Hello Tutor may change these terms and conditions by posting the revised version on the platform at least 14 days before the changes take effect. Users are encouraged to check the platform from time to time for updates.
16.2 Users will be bound by the revised terms and conditions if they continue to use the platform or its services following the effective date of the changes.
16.3 Where changes are material, Hello Tutor will notify Users by email or via a notice on the platform before they take effect.
17. Governing Law and Jurisdiction
17.1 These terms and conditions, and any dispute or claim arising out of or in connection with them or their subject matter (including non-contractual disputes or claims), shall be governed by and construed in accordance with the laws of the United Arab Emirates.
17.2 Any dispute arising under or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of Dubai, UAE, unless otherwise required by applicable law.
17.3 If any clause or part of these terms and conditions is found to be unenforceable under UAE law, the remaining terms and conditions will continue in full force and effect.

18.1 For general enquiries, Users may contact Hello Tutor through the support section of the platform or by emailing support@hellotutor.me.
18.2 For privacy-related enquiries or data rights requests, Users should contact privacy@hellotutor.me.
18.3 For safeguarding concerns, Users should contact safeguarding@hellotutor.me.
18.4 Hello Tutor will endeavour to acknowledge all enquiries within 5 working days and to respond in full within a reasonable time frame.
19. Definitions
19.1 "Booking" means the booking attached to an individual Lesson or class session on the platform, arranged by Hello Tutor on behalf of the Student and Tutor.
19.2 "Complaint" means a claim by a Student that either the service provided by a Tutor fell below the standard the Student reasonably expected, or that there was a Missed Lesson.
19.3 "Content" means all information of whatever kind, including profiles, messages, reviews, and other material published, stored, or sent on or in connection with the platform.
19.4 "Failed Payment" means an outstanding Lesson Fee for a Booking for which Hello Tutor's payment provider has been unable to make a successful charge against the payment details provided by the Student.
19.5 "Hello Tutor" means Hello Tutor LLC, a company registered and operating in Dubai, United Arab Emirates, and the operator of the Hello Tutor platform at app.hellotutor.me.
19.6 "Lesson" means, unless otherwise specified, a one-to-one tuition session between a Student and a Tutor, including both in-person and online sessions.
19.7 "Lesson Fee" means the total fee payable by the Student for a Lesson, comprising the Tutor Fee and the Service Fee, as determined by the Student's subscription.
19.8 "Missed Lesson" means a claim by a Student that they did not receive a Lesson for which there was a Booking on the platform.
19.9 "Online Classroom" means Hello Tutor's own online lesson space made available to Users at the time of booked Online Lessons.
19.10 "Online Lesson" means a one-to-one tuition session between a Student and a Tutor delivered through the Online Classroom.
19.11 "Platform" means the Hello Tutor website, mobile applications, and all related services available at app.hellotutor.me.
19.12 "Review" means any review, comment, or rating submitted by a User in respect of a Tutor or Lesson.
19.13 "Service Fee" means the portion of the Lesson Fee retained by Hello Tutor for the provision of its matching, booking, and platform services, as described in clause 6. The Service Fee is included within the Lesson Fee and is not charged separately.
19.14 "Subscription" means a subscription package purchased by a Student or Parent on the platform, which determines the subject, education level, and number of Lessons available to the Student at the applicable Lesson Fee.
19.15 "Student" means a User who has registered a student account on the platform. The Student must be at least 18 years old. Where the learner is under 18, the Student will be their parent or legal guardian.
19.16 "Student Restriction Period" means the period defined in clause 4.9, being at the time of booking any Tutor, during any period of confirmed Bookings with any Tutor, or at any time within six months of the date of the most recent Booking with the relevant Tutor matched through the platform.
19.17 "Tutor" means a User who has registered a tutor account on the platform.
19.18 "Tutor Fee" means that part of the Lesson Fee that is collected by Hello Tutor as agent for the Tutor, as described in clause 6. The Tutor Fee is set by Hello Tutor and is determined by the subject, education level, and number of Lessons included in the Student's subscription.
19.19 "Tutor Restriction Period" means the period defined in clause 5.14, being at the time of any meeting with any Student, during any period of confirmed Bookings with any Student, or at any time within six months of the date of the most recent Booking with the relevant Student.
19.20 "User" means any person who accesses or uses the Hello Tutor platform, whether or not they have registered an account.
